Milestone Covenant. Each Credit Party shall, and shall cause each of its Subsidiaries to, as applicable, satisfy the requirements set forth below on or before the respective date specified for each such requirement (the “Milestones”):

Milestone Covenant. Prior to Borrower’s unrestricted Cash at Bank falling 25% below all outstanding Indebtedness owing from Borrower to Bank, Borrower must deliver to Bank one of the following: 1) confirmation from Borrower’s inside investors of a forthcoming round of Subordinated Debt in an amount reasonably acceptable to Bank, 2) a Letter of Intent for a strategic investment in an amount reasonably acceptable to Bank, or 3) a term sheet for New Equity in an amount reasonably acceptable to Bank each of which must close within 60 days.
Milestone Covenant. Borrower shall achieve the Milestone Covenant.
Milestone Covenant. Borrower shall have filed the final 510k approval application for Vantera with the United States Food and Drug Administration on or before December 31, 2011, such filing to be confirmed to Bank by Borrower’s Board of Directors.
Milestone Covenant. (a) At all times prior to Borrower’s receipt of Positive Phase III Data, before Borrower’s unrestricted Cash at Bank falls below 50% of all outstanding Indebtedness owing from Borrower to Bank, (i) Borrower’s investors shall provide evidence reasonably satisfactory to Bank that Phase III Is On Track, and (ii) Borrower must deliver to Bank one of the following: (1) confirmation from Borrower’s inside investors of a forthcoming round of Subordinated Debt, (2) a Letter of Intent for a strategic investment, or (3) a term sheet for New Equity, each (x) in an amount to provide Borrower with adequate cash to continue operations through the analysis of Phase III data to determine whether the Primary Endpoint has been met and (y) of which must close within 60 days.
Milestone Covenant. On or before August 9, 2010, Borrower shall execute and deliver to Bank this Second Amended and Restated Loan and Security Agreement.

  • Compliance Covenant The Company will not become a party to any Common Stock Change Event unless its terms are consistent with this Section 5.09.

  • Suspension of Covenants on Achievement of Investment Grade Status If on any date following the Issue Date, the Notes have achieved Investment Grade Status and no Default or Event of Default has occurred and is continuing (a “Suspension Event”), then the Issuer shall notify the Trustee of these events and beginning on that day and continuing until such time, if any, at which the Notes cease to have Investment Grade Status (the “Reversion Date”), the following sections will not apply to the Notes: Section 4.04, Section 4.05, Section 4.07, Section 4.08, Section 4.09, Section 4.21, Section 4.24 and Section 5.03(a)(3) and any related default provision of this Indenture will cease to be effective and will not be applicable to the Issuer and the Restricted Subsidiaries. Such Sections and any related default provisions will again apply according to their terms from the first day on which a Suspension Event ceases to be in effect. Such Sections will not, however, be of any effect with regard to actions of the Issuer properly taken during the continuance of the Suspension Event, and Section 4.05 will be interpreted as if it has been in effect since the date of this Indenture except that no Default will be deemed to have occurred solely by reason of a Restricted Payment made while Section 4.05 was suspended. On the Reversion Date, all Indebtedness Incurred during the continuance of the Suspension Event will be classified, at the Issuer’s option, as having been Incurred pursuant to Section 4.04(a) or Section 4.04(b) (to the extent such Indebtedness would be permitted to be Incurred thereunder as of the Reversion Date and after giving effect to Indebtedness Incurred prior to the Suspension Event and outstanding on the Reversion Date). To the extent such Indebtedness would not be so permitted to be Incurred under Section 4.04(a) or Section 4.04(b), such Indebtedness will be deemed to have been outstanding on the Issue Date, so that it is classified as permitted under Section 4.04(b)(4)(a). The Issuer shall give the Trustee written notice of any Suspension Event and in any event not later than five (5) Business Days after such Suspension Event has occurred. The Issuer shall give the Trustee written notice of any occurrence of a Reversion Date not later than five (5) Business Days after such Reversion Date. Absent such written notice the Trustee shall be entitled to assume that no Suspension Event or the occurrence of any Reversion Date has occurred.

  • Post-Closing Covenant The Borrower agrees that it will, or will cause its relevant Subsidiaries to, complete each of the actions described on Schedule 9.14 as soon as commercially reasonable and by no later than the date set forth in Schedule 9.14 with respect to such action or such later date as the Administrative Agent may reasonably agree.

  • Financial Condition Covenant Permit the Asset Coverage Ratio to be less than the Minimum Permitted Ratio; or in each case allow Indebtedness of the Borrower to exceed the limits set forth in the Borrower’s Prospectus or registration statement or allow Indebtedness to exceed the requirements of the 1940 Act.

  • Performance of Covenants Each covenant or obligation that the Company is required to comply with or to perform at or prior to the Closing shall have been complied with and performed in all material respects.
