Common use of Miscellaneous Permits and Taxes Clause in Contracts

Miscellaneous Permits and Taxes. With respect to each Property, all water and sewer charges, taxes (other than ad valorem property taxes), including license taxes or fees for licenses (other than any liquor licenses or permits) which are assignable or transferable without added cost and have a value which will survive Closing, including, but not limited to, and any unpaid taxes payable in arrears, shall be prorated as of the Closing Date. The RLJ REITs will be credited for that portion of taxes and fees paid by the Company Parties allocable to the period after the Closing Date.
