Miscellaneous Title Matters. If a search of the title discloses judgments, bankruptcies or other returns against other persons having names the same as or similar to that of Seller, Seller shall on request deliver to Buyer an affidavit stating, if true, that such judgments, bankruptcies or the returns are not against Seller. Seller further agrees to execute and deliver to the Title Insurance agent at Closing such documentation, if any, as the Title Insurance underwriter shall reasonably require to evidence that the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized and that there are no mechanics' liens on the Property or parties in possession of the Property other than tenants under Leases and Seller.

Miscellaneous Title Matters. (i) PRE-CLOSING "GAP" DEFECTS. Whether or not Purchaser shall have furnished to Seller any notice of defects in title pursuant to the foregoing provisions of this Agreement, Purchaser may at or prior to Closing further notify Seller in writing of any defects in title arising between the earlier of (i) the effective date of Purchaser's title examination referenced above and (ii) the Title Examination Deadline, and the date on which this transaction is closed; with respect to any defects in title set forth in such further notice, Seller shall have the same obligations and Purchaser shall have the same rights as those which apply to any notice of defects in title resulting from a title examination made by Purchaser on or before the Title Examination Deadline.
Miscellaneous Title Matters. If a search of title to the Premises discloses judgments, bankruptcies or other returns against other persons having names the same as or similar to that of Lessor, Lessor shall on request deliver to Lessee an affidavit stating, if true, that such judgments, bankruptcies or the returns are not against Lessor. Lessor further agrees to execute and deliver to Escrow Holder at Closing such documentation as Escrow Holder shall reasonably require including, without limitation, a Commercial Owner’s Affidavit on Escrow Holder’s form, to evidence that the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized and that there are no mechanics’ liens on the Premises or parties are in possession of the Premises other than Lessor.

Buyer and Hyde Park further agree to execute and deliver to the Title Insurance agent at Closing such documentation, if any, as the Title Insurance underwriter shall reasonably require to evidence that the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized and that there are no inchoate or unperfected liens on the Property or parties in possession of the Property other than tenants under Leases and Hyde Park.

Anything contained in this (S)20 to the contrary notwithstanding, any Bank may at any time pledge all or any portion of its interest and rights under this Credit Agreement (including all or any portion of its Notes) to any of the twelve Federal Reserve Banks organized under (S)4 of the Federal Reserve Act, 12 U.S.C. (S)341. No such pledge or the enforcement thereof shall release the pledgor Bank from its obligations hereunder or under any of the other Loan Documents.
