MP Tax Representations. MP makes the following representations and warranties to MH as of the date of the execution of this Agreement, as of the Effective Date and upon the date of each delivery of Non-Firm Energy and Allocated and Transferred Environmental Attributes attestation documentation throughout the Contract Term: (a) it is a "U.S. person” (as that term is used in section 1.1441-4(a) (3) (ii) of the United States Treasury Regulations) for United States of America federal income tax purposes and its U.S. Taxpayer identification number is ▇▇-▇▇▇▇▇▇▇; and (b) no part of any payment received or to be received by MP in connection this Agreement is attributable to a trade or business carried on by it in Canada.
