Common use of Mutual Preparation Clause in Contracts

Mutual Preparation. The Parties have had a full opportunity to negotiate the terms and 25 conditions of this Settlement Agreement. Accordingly, this Settlement Agreement will not be construed 26 more strictly against one party than another merely by virtue of the fact that it may have been prepared 27 by counsel for one of the Parties, it being recognized that, because of the arm’s-length negotiations 28 between the Parties, all Parties have contributed equally to the preparation of this Settlement Agreement.
