Except as set forth on such Schedule II, within the 5 years prior to the date hereof, Pledgor has not changed its name or merged with or otherwise combined its business with any other Person. Pledgor (i) is a limited liability company, duly formed, validly existing and in good standing under the jurisdiction of its formation as set forth on Schedule II, (ii) is duly organized and validly existing solely under the laws of such jurisdiction of formation, (iii) has the power and authority to own its assets and to carry on its business as now being and hereafter proposed to be conducted and is duly qualified and is in good standing as a domestic or foreign limited liability company, and authorized to do business, in each jurisdiction in which the character of its assets or the nature of its business requires such qualification or authorization, except where the failure to be so qualified or authorized could not reasonably be expected to have, in each instance, a Material Adverse Effect.
