Nasdaq National Market Application. Centex and Cavco have prepared and filed with the National Association of Securities Dealers, Inc., an application for the Cavco Common Stock to be admitted for quotation on the Nasdaq National Market. Each of Centex and Cavco shall use commercially reasonable efforts to cause such application to be approved so that the Cavco Common Stock is admitted for quotation on the Nasdaq National Market prior to the Distribution Date.

Nasdaq National Market Application xXXxX*s has prepared, and on November 4, 2005 filed with the National Association of Securities Dealers, Inc., an application for the xXXxX*s Common Stock and Rights to be admitted for quotation on the Nasdaq National Market in connection with the Spinoff and Rights Offering, respectively. Such application was approved by Nasdaq on December 6, 2005 as to the xXXxX*s Common Stock, and the xXXxX*s Common Stock has been admitted for quotation on the Nasdaq National Market subject to official notice of listing and payment of the listing fees. From and after the date hereof, the parties shall file such additional applications and take all such other actions as reasonably may be required so that the Rights are admitted for quotation on the Nasdaq National Market on or prior to the Rights Offering Record Date.
