Nature of Agency. It is expressly understood that RSC and GMREDCO are and shall remain independent contractors. This Agreement shall not be construed as creating a joint venture or partnership between them or their respective successors in interests. Neither Party shall have any authority to create or assume, in the name or on behalf of the other Party, any obligation, expressed or implied, nor to act or purport to act as the agent or the legally empowered representative of the other Party hereto for any purpose whatsoever except as expressly set forth herein.
