Common use of NDC Numbers Clause in Contracts

NDC Numbers. Following the Closing Date, Purchaser shall obtain its own NDC number and shall use commercially reasonable efforts to have in place as soon as reasonably practicable all resources such that sales can be accomplished under the NDC number of Purchaser. Thereafter, Purchaser shall use its new NDC number on all invoices, orders and other communications with customers and Governmental Authorities.

NDC Numbers. Following the Closing DateDate in accordance with Section 8.3.3, Purchaser shall obtain its own NDC number numbers for Products and shall use commercially reasonable efforts to have in place as soon as reasonably practicable all artwork and resources such that sales of Product after the Closing Date can be accomplished under the NDC number numbers of Purchaser. Thereafter, Purchaser shall use its new NDC number numbers on all invoices, orders and other communications with customers and Governmental AuthoritiesAuthorities as soon as the Existing Finished Product Inventory labeled with Seller’s NDC number have been exhausted by Purchaser.

NDC Numbers. Following the Closing Date, Purchaser Buyer shall promptly obtain its own NDC number for the Product and shall use commercially reasonable efforts to have in place as soon as reasonably practicable all resources such that sales can be accomplished under the NDC number of Purchaser. Thereafter, Purchaser shall immediately thereafter use its new NDC number on all invoices, orders and other communications with customers and Governmental Authorities; provided, however, Buyer shall be permitted to continue selling the Inventory under Seller’s NDC number until such Inventory has been exhausted or is otherwise deemed unsaleable. Buyer is responsible for all necessary notification to third parties regarding such new NDC number.
