Necessary Records. Licensee and Licensee Affiliates shall keep and maintain accurate, complete and detailed books and records in paper and electronic form including, but not limited to, all books and records and organization charts showing the relationship of Licensee and all Licensee Affiliates, and all production, purchases, stocks, deliveries, and technical specifications of all Licensed Products, and sales records related to Licensed Products, which are necessary for an Auditor (as defined in Section 4.6), in such Auditor’s sole opinion, to verify the fees paid and/or payable under this Agreement (all books and records collectively referred to as “Necessary Records”). Necessary Records pertaining to a particular royalty reporting period, including Necessary Records relating to the Making and/or Selling of any Licensed Products, shall be maintained for five (5) years after the expiration of the Term.
