Negotiated Risk Allocation. The Parties expressly acknowledge that the limitations and exclusions set forth in this Article have been the subject of active and complete negotiation between the Parties and represent the Parties’ agreement based upon the level of risk to the Parties associated with their respective obligations under this MSA and the payments provided hereunder to Vendor for its performance of the Services.
