Common use of Network (Floating) Licenses Clause in Contracts

Network (Floating) Licenses. If Customer acquires a Local Network License, Country Network License, or Regional Network License, access to and use of the Software will be controlled by a single Customer Computer (license server) and Authorized Users may access and use the Software on client machines served by the license server, provided that access to and use of the Software at any one time does not exceed the number of floating licenses (or “licensing units/tokens” in the case of an MSC “Licensing System” – see Section 4.3.1) acquired by Customer for that Software. In addition, Customer shall strictly comply with the following restrictions: (i) if Customer acquires a Local Network License (also sometimes referred to simply as a Network License), the Software may only be accessed or used by Authorized Users physically located at the Installation Site (on client machines located at the Installation Site), or if Customer’s local area network is shared by a grouping of Customer facilities, then by Authorized Users physically located at any Customer facility within ten (10) miles of the Installation Site (on client machines located at any such Customer facility); (ii) if Customer acquires a Country Network License, the Software may only be accessed or used by Authorized Users physically located at Customer facilities located within the country where the Installation Site is located (on client machines located at such Customer facilities); or (iii) if Customer acquires a Regional Network License, the Software may only be accessed or used at Customer facilities located in North, Central and South America (MSC’s “Americas Region”) (on client machines located at such Customer facilities), except as prohibited by United States and other applicable laws and regulations, including without limitation, those regarding export and import of software and technical data. Any network (floating) license acquired by Customer hereunder shall be deemed a Local Network License, unless it is expressly identified in the Order Schedule as a “Country” or “Regional” Network License.

Any network (floating) license acquired by Customer hereunder shall be deemed a Local Network License, unless it is expressly identified in the Order Schedule as a “Country” or “Regional” Network License.. 4.3.1

Any network (floating) license acquired by Customer hereunder shall be deemed a Local Network License, unless it is expressly identified in the Order Schedule as a “Country” or “Regional” Network License.

In addition, Customer shall strictly comply with the following terms and restrictions: (i) if -If Customer acquires a Local Network License (also sometimes referred to simply as a Network License), the Software may only be installed, accessed or used by Authorized Users physically located at the Installation Site (on client Customer machines served by the License Server and physically located at the Installation Site), or if ; except that Customer’s local area network is shared by a grouping of Customer facilities, then by Authorized Users employees physically located at any Customer facility within ten a fifty (1050) miles mile radius of the Installation Site may access and use the Software by remote access to Customer’s network and the License Server through VPN (but solely on client Customer machines served by the License Server and physically located at any such Customer facilitywithin a fifty (50) mile radius of the Installation Site); (ii) if . -If Customer acquires a Country Network License, the Software may only be installed, accessed or used by Authorized Users physically located at Customer facilities located within the country where the Installation Site is located; except that Customer employees physically located within such country may access and use the Software by remote access to Customer’s network and the License Server through VPN (but solely on client Customer machines served by the License Server and physically located at within such Customer facilitiescountry); or (iii) if . -If Customer acquires a Regional Network License, the Software may only be installed, accessed or used by Authorized Users physically located at Customer facilities within the specified Region where the Installation Site is located; except that Customer employees physically located in North, Central within such Region may access and South America use the Software by remote access to Customer’s network and the License Server through VPN (MSC’s “Americas but solely on Customer machines served by the License Server and physically located within such Region”) (on client machines located at such Customer facilities), except as prohibited by United States and other applicable laws and regulations, including without limitation, those regarding export and import of software and technical data. For Regional Network Licenses granted in North America, unless otherwise specified by Hexagon in the Order Schedule or other contract document, the Region shall be the Hexagon’s Americas Region (i.e., North, Central and South America (MSC’s “Americas Region”) (on client machines located at such Customer facilitiesAmerica, subject to Section 14 below), except as prohibited by United States and other applicable laws and regulations, including without limitation, those regarding export and import of software and technical data. Any -Any network (floating) license acquired by Customer hereunder shall be deemed a Local Network License, License unless it is expressly identified otherwise in the Order Schedule as a “Country” or “Regional” Network LicenseSchedule.

Any network (floating) license acquired by Customer hereunder shall be deemed a Local Network License, unless it is expressly identified in the Order Schedule as a “Country” or “Regional” Network License. 4.3 Síťové (plovoucí) licence: Pokud Zákazník získá Místní síťovou licenci, Síťovou licenci pro zemi nebo Oblastní síťovou licenci, přístup k Softwaru a jeho použití bude řízeno jedním Počítačem zákazníka (licenční server) a Oprávnění uživatelé mohou získat přístup k Softwaru a používat jej na klientských počítačích obsluhovaných licenčním serverem za předpokladu, že počet přístupů k Softwaru a jeho použití v jednom okamžiku nepřekročí počet plovoucích licencí (nebo licenčních jednotek/tokenů v případě „licenčního systému” společnosti MSC – viz část 4.3.1) získaných Zákazníkem na tento Software. Zákazník bude dále přesně dodržovat následující omezení: (i) pokud Zákazník získá Místní síťovou licenci (někdy také označovanou pouze jako Síťová licence), mohou k Softwaru získat přístup nebo jej používat pouze Oprávnění uživatelé fyzicky se nacházející v Místě instalace (na strojích klienta nacházejících se v Místě instalace) nebo, pokud je Místní síť zákazníka sdílena v rámci seskupení poboček Zákazníka, potom mohou k Softwaru získat přístup nebo jej používat Oprávnění uživatelé fyzicky se nacházející v jakékoli pobočce Zákazníka v okruhu do deseti (10) mil (16 km) od Místa instalace (na strojích klienta nacházejících se v jakékoliv této pobočce Zákazníka); (ii) pokud Zákazník získá Síťovou licenci pro zemi, mohou k Softwaru získat přístup nebo jej používat pouze Oprávnění uživatelé fyzicky se nacházející v pobočkách Zákazníka se sídlem v zemi, ve které se nachází Místo instalace (na strojích klienta nacházejících se v této pobočce Zákazníka); nebo (iii) pokud Zákazník získá Oblastní síťovou licenci, mohou k Softwaru získat pří tup nebo jej používat pouze Oprávnění uživatelé fyzicky se nacházející v pobočkách Zákazníka se sídlem v Evropě a v zemích Středního východu a Afriky tak, jak může být v některých případech stanoveno společností MSC (pro účely společnosti MSC se tato oblast souhrnně nazývá „oblast EMEA“). Xxxxxxxx xxxxxx (xxxxxxxx) xxxxxxx xxxxxxx Xxxxxxxxxx xx zde uvedených podmínek bude považována za Místní síťovou licenci, pokud není v Rozpisu objednávky výslovně uvedeno, že se jedná o „Síťovou licenci pro zemi“ nebo „Místní“ síťovou licenci.

Network (Floating) Licenses. If Customer acquires a Local Network License, Country Network License, or Regional Network License, access to and use of the Software will be controlled by a single Customer Computer (license server) and Authorized Users may access and use the Software on client machines served by the license server, provided that access to and use of the Software at any one time does not exceed the number of floating licenses (or “licensing units/tokens” tokens in the case of an MSC “Licensing System” – see Section 4.3.1) acquired by Customer for that Software. In addition, Customer shall strictly comply with the following restrictions: (i) if Customer acquires a Local Network License (also sometimes referred to simply as a Network License), the Software may only be accessed or used used, by Authorized Users physically located at the Installation Site (on client machines located at the Installation Site), or if Customer’s local area network is shared by a grouping of Customer facilities, then by Authorized Users physically located at any Customer facility within ten (10) miles of the Installation Site (on client machines located at any such Customer facility); (ii) if Customer acquires a Country Network License, the Software may only be accessed or used by Authorized Users physically located at Customer facilities located within the country where the Installation Site is located (on client machines located at such Customer facilities); or (iii) if Customer acquires a Regional Network License, the Software may only be accessed or used by Authorized Users physically located at Customer facilities located in NorthEurope, Central and South America countries in the Middle East and Africa as may be designated by MSC from time to time (collectively, MSC’s “Americas EMEA Region”) (on client machines located at such Customer facilities), except as prohibited by United States and other applicable laws and regulations, including without limitation, those regarding export and import of software and technical data. Any network (floating) license acquired by Customer hereunder shall be deemed a Local Network License, unless it is expressly identified in the Order Schedule as a “Country” or “Regional” Network License. Groepslogins of gemeenschappelijke logins zijn streng verboden. Bovendien zal het gebruik van de software zoals vastgelegd onder een named-user- licentie toegang geven of gebruikt worden in het land, waar de “Installation Site” is gehuisvest, tenzij anders vastgelegd in het orderschema tenzij anders vermeld in het orderschema. 4.3 Netwerk- (floating-) licenties: Wanneer de klant een standplaatsgebonden netwerk-licentie, een interlokale netwerk-licentie of regionale netwerk-licentie koopt, worden de toegang tot de software en het gebruik van de software vanuit één enkele klantencomputer (licentie-server) bestuurd en de bevoegde gebruikers kunnen vanaf met de licentie-server verbonden computers de software oproepen en deze gebruiken, echter onder de voorwaarde dat de gelijktijdige toegang tot en het gelijktijdig gebruik van de software het door de klant voor deze software gekochte aantal floating- licenties (of „licentie-eenheden“/tokens bij een MSC „licentiërings-systeem“ – zie paragraaf 4.3.1) niet te boven gaat. Daarnaast moet de klant de volgende beperkingen streng naleven: (i) wanneer de klant een standplaatsgebonden netwerk-licentie koopt (die af en toe ook gewoon als netwerk-licentie wordt aangeduid), mag de toegang tot de software of het gebruik ervan alleen door bevoegde gebruikers fysiek aanwezig op de installatie locatie (op de machine van de klant op de installatie locatie) of, mocht het local area network van de klant vanuit een reeks bedrijfsvestigingen van de klant gemeenschappelijk worden gebruikt, door bevoegde gebruikers fysiek aanwezig in een bedrijfsvestiging van de klant in een omtrek van zestien (16) kilometer van de installatielocatie (op de machine van de klant gehuisvest op dergelijke faciliteit van de klant) plaatsvinden; (ii) wanneer de klant een interlokale netwerk-licentie koopt, mogen alleen bevoegde gebruikers fysiek aanwezig de software kunnen oproepen of gebruiken in de bedrijfsvestigingen van de klant binnen het land, waarin de installatielocatie zich bevindt (op de machine van de klant gehuisvest op dergelijke faciliteit van de klant); of (iii) wanneer de klant een regionale netwerk-licentie koopt, mag de software alleen door bevoegde gebruikers fysiek aanwezig in de bedrijfsvestigingen van de klant kunnen worden opgeroepen danwel gebruikt, die in Europa en in door MSC telkens bepaalde landen in het Midden-Oosten alsmede in Afrika liggen (tezamen als de MSC-„EMEA-regio“ aangeduid). Iedere door de klant conform deze overeenkomst gekochte netwerk- (floating-) licentie geldt als een standplaatsgebonden netwerk-licentie, tenzij het in deze in het order schema uitdrukkelijk als een „interlokale“ of „regionale“ netwerk-licentie is aangegeven.
