Named User License. Licensed Software provided under this License Option gives Licensee the right to install the Licensed Software on either (i) a single machine which may be accessed by the named end users for those licenses or (ii) on a single host machine or server (“Host Server”) which may be accessed by any of the named end users licensed. A Named User License means that only one named person can use each license and that named person has the right to unlimited access to the Licensed Software. A Named User License is not based on concurrent users, but instead on an actual named user basis. Licensor reserves the right at any time to require Licensee to provide a list of the named end users. Licensee may change a named end user provided that the change is made either permanently away from the named end user or temporarily to accommodate the use of the Licensed Software by a temporary worker while the named end user is absent, but in no event more than once every 30 days.
Named User License. Named User Definition: In accordance with the number of licenses ordered by Licensee as per applicable quote or order confirmation, AF for the applicable license period authorizes employees of Licensee, that are identified with a unique username and password, to Use the Licensed Product from a single machine at any given time (“Named User”). Each Named User may install the AutoForm Products on up to four (4) devices, provided that he/she only Uses the Software on one (1) device at a time and only within the country specified in the applicable quote or order confirmation (“Permitted Country”). To accommodate for the fact that a Named User may occasionally have to travel abroad, Use outside of the Permitted Country is permitted up to a maximum of 40 (forty) days during an applicable license term. For the avoidance of doubt, employees of companies controlling, controlled by or under common control with Licensee (“Licensee Affiliate”) cannot be considered Named Users under this Agreement. Any Licensee Affiliate needs to acquire its own licenses by entering into a separate Agreement with the applicable local AF Affiliate. Replacement of a Named User / Reassignment to a Named User: Replacement of an existing Named User by a new Named User is permitted, provided that the new Named User strictly complies with all Use terms. Permanent or temporary replacement: In case of a permanent personnel change or in case of temporary leave of absence of a Named User (e.g. due to illness or end of a project), Licensee may replace a Named User instantaneously by assigning the Licensed Software to another Named User. In such case, the assigning Named User thereafter will be blocked from Using the Licensed Software during one hundred eighty-six (168) hours (“Blocking Period”), i.e. reassignment of the Licensed Software to such Named User is only possible after expiry of the Blocking Period. Further assignment to a next new Named User, however, is always possible instantaneously, again, provided that any assigning Named User after his assignment of the Licensed Software will be subject to the Blocking Period. Reporting: Licensee will provide AF upon request with anonymized license server log-files.

For certain Software, a named user may have the option to run more than one instance of the Software at any one time, in which case each such additional instance is counted separately and will require an additional Named User License. Customer is responsible for designating and maintaining (in the license manager program that accompanies the Software) the list of individual “named user(s)” authorized to access and use each Software, and may re-edit the list of named users, provided that the number of named users never exceeds the number licensed for each Software. Each named user designated by Customer must be an individual who at all times during the designation meets the definition of an “Authorized User”. Group or shared logins are strictly prohibited. In addition to any other restrictions set forth herein, Software licensed under a Named User License may only be accessed or used in the country where the Installation Site is located.
