No Additional Authorization Required. No license, consent, authorization or approval or other action by, or notice to or registration or filing with, any Governmental Authority, and no other third-party consent or approval, is necessary for the due execution, delivery and performance by the General Partner of this Agreement, or for the legality, validity or enforceability of this Agreement, except such as have heretofore been given or made.
