No Adjustment to Conversion Rate. The Company will, during the period from and including the date hereof through and including the earlier of (a) the purchase by the Underwriters of all of the Option Securities and (b) the expiration of the Underwriters’ option to purchase Option Securities, not to do or authorize or cause any act or thing that would result in an adjustment of the conversion rate of the Preferred Stock.
