No amendments of Articles of Association. 7. Each of the Sponsors and the Insiders agrees to not propose any amendment to the Articles of Association which materially and adversely affects the rights of Class A Ordinary Shareholders (each such amendment, an “Amendment”), unless the Company provides its Class A Ordinary Shareholders with the opportunity to redeem their Class A Ordinary Shares upon approval of any Amendment at a per share price, payable in cash, equal to the aggregate amount then on deposit in the Escrow Accounts divided by the number of then issued and outstanding Class A Ordinary Shares (for the avoidance of doubt, not including Class A Ordinary Shares held in treasury at that time). In such case, the Statutory Board will set and announce by press release an acceptance period for the repurchase of Class A Ordinary Shares in connection with proposed Amendment. The Board will also determine the date on which the repurchase of the Class A Ordinary Shares validly tendered for repurchase shall be completed. Such date and the other terms and conditions for such repurchase shall be included in the notice of the general meeting of Shareholders convened to seek approval of the proposed Amendment.

  • FORMATION OF ASSOCIATION 12.2.1 The Promoter shall, in accordance with Applicable Laws, call upon the respective apartment owners to form an association (“ASSOCIATION”), and it shall be incumbent upon the Allottee to join the Association as a member and for this purpose also from time to time sign and execute the application for registration and/or membership and the other papers and documents necessary for the same. The Allottee shall pay the necessary subscription and/or membership amounts, together with the proportionate costs and expenses for (i) formation of the Association, and (ii) transfer of the Common Areas to the Association, including but not limited to stamp duty and registration costs, if any.   • Bylaws The bylaws of Merger Subsidiary in effect at the Effective Time shall be the bylaws of the Surviving Corporation until amended in accordance with applicable law.

  • Adoption of Subsequent Orders to Incorporate Terms That a State Mortgage Regulator, if deemed necessary under the laws and regulations of the corresponding Participating State, may issue a separate administrative order to adopt and incorporate the terms and conditions of this Agreement.   • Incorporation of Schedules The Schedules identified in this Agreement are incorporated herein by reference and made a part hereof.

  • Incorporation of Provisions The contractor will include the provisions of paragraphs one through six in every subcontract, including procurements of materials and leases of equipment, unless exempt by the Acts, the Regulations and directives issued pursuant thereto. The contractor will take action with respect to any subcontract or procurement as the sponsor or the Federal Aviation Administration may direct as a means of enforcing such provisions including sanctions for noncompliance. Provided, that if the contractor becomes involved in, or is threatened with litigation by a subcontractor, or supplier because of such direction, the contractor may request the sponsor to enter into any litigation to protect the interests of the sponsor. In addition, the contractor may request the United States to enter into the litigation to protect the interests of the United States.

  • Amendments by us 2.1 We may vary any details of this agreement or a Direct Debit Request at any time by giving you at least fourteen (14) days written notice.

  • Incorporation of Prompt Payment Policy Statement into Contracts The provisions of this Exhibit shall apply to all Payments as they become due and owing pursuant to the terms and conditions of this Agreement, notwithstanding that NYSERDA may subsequently amend its Prompt Payment Policy by further rulemaking.

The School shall notify the Authorizer of any modification to the Articles or Bylaws within five (5) business days of approval by the Charter Board.
