No Announcement without Prior Approval. Save as expressly required by this Agreement or applicable laws and regulations or as otherwise required by the Stock Exchange and/or the SFC (if applicable), the Company or the Underwriter shall not make or despatch any announcement, circular (if any), prospectus or communication to Shareholders or the Stock Exchange concerning the Company which is material in relation to the Rights Issue between the date of this Agreement and, if all the Rights Shares are accepted, the Latest Time for Acceptance or, in any other cases, the time at which the Underwriter is obliged to make payment under Clause 7 or the time at which the Underwriting Agreement is terminated (as the case may be), without prior written approval of the Company and the Underwriter as to the content, timing and manner or despatch thereof.

  • Vacancy Announcements (a) Announcement of employment opportunities must receive appropriate distribution to enable and encourage qualified candidates to apply. Announcements should be open for at least 2 weeks. In unusual circumstances, the Chief Administrative Officer or designee may shorten the 2-week announcement period. Announcements must contain specific information about examinations, minimum qualifications, duties and other relevant job factors. Length of County service (seniority) shall be considered when qualified candidates are otherwise deemed reasonably equal.

  • Public Announcement Unless otherwise required by applicable law, the parties hereto shall consult with each other before issuing any press release or otherwise making any public statements with respect to this Agreement and shall not issue any such press release or make any such public statement prior to such consultation.

  • Announcement COMPANY shall have the right to make public announcements concerning the execution of this Agreement and certain terms thereof.

  • Prior Approval The Engineer shall not assign, subcontract or transfer any portion of professional services related to the work under this contract without prior written approval from the State.

  • Public Disclosure Unless otherwise required by law, prior to the ----------------- Effective Time, no disclosure (whether or not in response to an inquiry) of the subject matter of this Agreement shall be made by any party hereto unless approved by Parent and the Company prior to release, provided that such approval shall not be unreasonably withheld.

  • Assignment Without Prior Consent If the Interconnection Agreement between the Wholesale Market Participant and the Transmission Owner, as referenced in section 3.1.4 herein, provides that such Interconnection Agreement may be assigned, and such Interconnection Agreement was assigned, then the Wholesale Market Participant may assign its rights or delegate its duties under this WMPA without the Transmission Owner’s or Transmission Provider’s prior consent to any Affiliate or person that purchases or otherwise acquires, directly or indirectly, all of the Participant Facility, provided that prior to the effective date of any such assignment: (1) the assignee shall demonstrate that, as of the effective date of the assignment, the assignee has the technical and operational competence to comply with the requirements of this WMPA; and (2) in writing to the Transmission Owner and Transmission Provider, assignee assumes all rights, duties, and obligations of Wholesale Market Participant arising under this WMPA. However, any assignment described herein shall not relieve or discharge the Wholesale Market Participant from any of its obligations hereunder absent the written consent of the Transmission Provider, such consent not to be unreasonably withheld, conditioned or delayed.

  • No Assignment without Consent This Charter shall not be assigned by either party without mutual written consent.
