No assignment by Cash Manager. Subject to Clause 3.2 (Sub-Contracts), the Cash Manager may not assign or transfer any of its rights and obligations under this Agreement without the prior written consent of the Issuer and the Security Trustee, such consent not to be unreasonably withheld.
