Common use of NO ASSIGNMENT OR CHANGES Clause in Contracts

NO ASSIGNMENT OR CHANGES. No change, amendment or modification of any provision of this Contract will be accepted. This Contract, including its Exhibits, sets forth the entire Contract and supersedes any and all prior agreements, written or oral, of the Parties with respect to the transactions set forth herein. Neither Party may assign or otherwise transfer this Contract or any rights or obligations hereunder, in whole or in part, without the other Party’s prior written consent. Notwithstanding the foregoing, either Party may assign or otherwise transfer this Contract or any rights or obligations hereunder, upon notice to the other Party, to an affiliate, or other person or corporate entity resulting from a sale, merger or other transaction involving the transfer of Provider’s assets, stock and/or business.
