No Bribes or Kickbacks. Professional shall not by any means:
(i) induce any person or entity employed in the construction of the Project to give up any part of the compensation to which that person or entity is entitled;
(ii) offer to accept any bribes or kick-backs in connection with the Project from or to any individual or entity, including any of its consultants; or
(iii) without the express written permission of Owner, call for or by exclusion require or recommend the use of any subcontractor, consultant, product, material equipment, system, process or procedure in which Professional has a direct or indirect proprietary or other pecuniary interest.
No Bribes or Kickbacks. Construction Manager shall not by any means:
(i) induce any person or entity employed in the construction of the Project to give up any part of the compensation to which that person or entity is entitled;
(ii) offer to accept any bribes or kick-backs in connection with the Project from or to any individual or entity, including any of its consultants; or
(iii) without the express written permission of Owner in accordance with Owner’s policy on the subject, call for or by exclusion require or recommend the use of any subcontractor, consultant, product, material equipment, system, process or procedure in which Construction Manager has a direct or indirect proprietary or other pecuniary interest.
No Bribes or Kickbacks. The Design/Builder shall not by any means:
(i) induce any person or entity employed in the construction of the Project to give up any part of the compensation to which that person or entity is entitled;
(ii) offer nor accept any bribes or kick-backs in connection with the Project from or to any individual or entity, including any of its trade contractors, subcontractors, consultants, suppliers or manufacturers of Project goods and materials; or
(iii) without the express written permission of the Owner, call for or by exclusion require or recommend the use of any subcontractor, consultant, product, material, equipment, system, process or procedure in which the Design/Builder has a direct or indirect proprietary or other pecuniary interest.
No Bribes or Kickbacks. The Seller has not, directly or indirectly, paid or delivered any fee, commission, or other money, funds, or property, however characterized, to any person or Entity, in the United States or any other country, and the Purchaser does not know and does not have reason to believe that any conduct by the Purchaser, or any of its officers, directors, employees, agents, or representatives, or any of them, is or has been illegal pursuant to any federal, state, or local law of the United States or any other country having jurisdiction of such conduct. Neither the Purchaser nor any of its officers, directors, employees, agents, or representatives, has participated, directly or indirectly, in any boycott or other similar practice affecting any of the actual or potential customers of the Purchaser. The Purchaser has at all times done business in an open and ethical manner.

b) offer to accept any bribes or kick-backs in connection with the project from or to any individual or entity, including any of its consultants; or
c) without the express written permission of Owner in accordance with Owner’s policy on the subject, call for or by exclusion require or recommend the use of any subcontractor, consultant,

TransPacific has not, directly or indirectly, paid or delivered any fee, commission, or other money, funds, or property, however characterized, to any person, in the United States or any other country, that is in any manner related to the business or operations of TransPacific, and the Sellers, and each of them, do not know and do not have reason to believe that any conduct by TransPacific, the Sellers, or any of them, is or has been illegal pursuant to any federal, state, or local law of the United States or any other country having jurisdiction of such conduct.
