Common use of No Brokers Clause in Contracts

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith.

No Neither Seller nor any of its respective officers, directors, employees, shareholders or Affiliates has employed or made any agreement with any broker, finder or similar intermediary has acted for or on behalf of the Company agent or any of its respective affiliates person or firm which will result in an obligation to pay any finder's fee, brokerage fees or commission or similar payment in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company Buyer, and no Person with which Buyer has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee or any of its respective affiliates similar compensation in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company Sponsor or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith.

No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from, the Buyer Group in connection therewithwith this Agreement or the transactions contemplated hereby.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company any Seller Entity or any equity holder of its respective affiliates any Seller Entity, and no Person with which any Seller Entity or any equity holder of any Seller Entity has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee or any similar compensation in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithby this Agreement.

No agent, broker, finder investment banker, financial adviser or similar intermediary other Person has acted for been engaged by the Buyers that is or on behalf of the Company or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is will be entitled to any broker’s, ’s or finder’s or similar fee or any other similar commission or fee in connection therewithwith any of the Contemplated Transactions.

No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from any of the Company Entities or any of their Affiliates in connection therewithwith this Agreement or any related agreement or the transactions contemplated hereby or thereby.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company such Purchaser or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith.

No broker, finder or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’shas acted on behalf of the SELLERS or the COMPANY in connection with this AGREEMENT or the transactions contemplated hereby, and no brokerage commissions, finder’s 's fees or similar fee fees, commissions or other commission payments are due by the COMPANY or the SELLERS in connection therewiththerewith based on any agreement, arrangement or understanding with any of them.

No broker, finder or similar intermediary agent has acted for been retained by or to act on behalf of the Company Buyer and no Person is entitled to any brokerage commission, finder’s fee or any of its respective affiliates similar compensation in connection with services provided to Buyer in connection with this Agreement Agreement, the other Transaction Documents to which it is a party or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithTransactions.

The Company has heretofore furnished to Parent a complete and correct copy of all agreements between the Company and Financo, Inc. pursuant to which Financo, Inc. would be entitled to any payment relating to the transactions contemplated hereby.

No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from, the Buyer in connection therewithwith this Agreement or the transactions contemplated hereby, in each case, with respect to which the Sellers will incur any liability.

No broker, broker or finder or similar intermediary has acted directly or indirectly for the Company in connection with the transactions contemplated by this Agreement, and no broker or finder is entitled to any brokerage, finder’s or other fee or commission in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company or any of its respective affiliates in connection with this Agreement and the Investor or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No broker, finder or similar intermediary has acted for investment banker retained or engaged on behalf of the Company Buyer or any of its respective affiliates in connection with this Agreement Affiliates, nor any Person claiming to have been engaged by Buyer or the transactions contemplated hereby and no brokerany of its Affiliates, finder, agent or similar intermediary is entitled to any broker’sbrokerage, finder’s or similar fee finders or other fee, compensation or commission in connection therewithwith the transactions contemplated by this Agreement.

No broker, finder or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby by this Agreement and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith.

No broker, broker or finder or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates Venture in connection with this Agreement or the transactions contemplated hereby hereby, and no broker, finder, agent broker or similar intermediary finder is entitled to any broker’s, brokerage or finder’s or similar fee or other commission commissions in connection therewithrespect of such transactions based upon agreements, arrangements or understandings made by or on behalf of Venture.

No investment banker, broker, finder or similar other intermediary has acted directly or indirectly for the Sellers or on behalf of the Company, and the Company has not and will not incur any obligation to pay any brokerage or any of its respective affiliates finder's fee or other commission, in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithby this Agreement.

No broker, finder or similar intermediary agent has acted for been engaged by or on behalf of the Buyer that is payable by an Acquired Company or a Seller, and no Person is entitled to any of its respective affiliates brokerage commission, finder’s fee or any similar compensation that is payable by an Acquired Company or a Seller, in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of, or is entitled to any broker's, finder's or similar fee or other commission from any of the Sellers, the Company or any of its their respective affiliates Affiliates in connection with this Agreement or any related agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to thereby. The Broker has not acted for or on behalf of any broker’s, finder’s of the Sellers or similar fee the Company or other commission any of their respective Affiliates in connection therewithwith this Agreement and the transactions contemplated hereby.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from such Seller or, as a result of actions by such Seller, any of the Company or its Subsidiaries in connection therewithwith this Agreement or the transactions contemplated hereby.

No Brokers. No broker, broker or finder or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby hereby, and no broker, finder, agent broker or similar intermediary finder is entitled to any broker’s, brokerage or finder’s or similar fee or other commission commissions in connection therewithrespect of such transactions based upon agreements, arrangements, or understandings made by or on behalf of Company.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company Buyer, and no Person with which Buyer has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee, agent’s commissions or any of its respective affiliates similar compensation in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No Brokers. No broker, finder or similar intermediary agent has acted for been retained by or to act on behalf of the Company Buyer and no Person is entitled to any brokerage commission, finder’s fee or any of its respective affiliates similar compensation in connection with services provided to Buyer in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from such Significant Stockholder or, as a result of actions by such Significant Stockholder, any of the Company or its Subsidiaries in connection therewithwith this Agreement or the transactions contemplated hereby.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company, and no Person with which the Company has had any dealings or communications of any kind is entitled to any brokerage commission, finder's fee or any of its respective affiliates similar compensation in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No broker, finder finder, or similar intermediary has acted for or on behalf of the Company of, or is entitled to any of its respective affiliates broker’s, finder’s, or similar fee or other commission from, Buyer in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby. Section 4.05.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or is entitled to any of its respective affiliates broker's, finder's or similar fee or other commission from Parent in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewiththan ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ & Co. Incorporated.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company Buyer or Investment, and neither Buyer, Investment nor any Person with which Buyer or Investment has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee or any of its respective affiliates similar compensation, in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company Buyer or any of its respective affiliates Affiliates, and no Person with which Buyer or such Affiliate has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee or any similar compensation, in each case in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No investment banker, broker, finder or similar other intermediary has acted directly or indirectly for or on behalf of the either Company or any of its respective affiliates affiliates, and Company has not and will not incur any obligation to pay any brokerage or finder's fee or other commission, in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithAgreement.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from Seller or the Member in connection therewithwith this Agreement, the applicable Ancillary Documents or the Contemplated Transactions.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from the Company or its Subsidiaries in connection therewithwith this Agreement or the transactions contemplated hereby other than RBC Capital Markets Corporation.

No Brokers. No broker, finder finder, agent or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates Buyer in connection with this Agreement or the transactions contemplated hereby by this Agreement, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewiththerewith based on any agreement, arrangement or understanding with the Buyer or any action taken by the Buyer.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Seller or the Company, and no Person with which the Seller or the Company has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee or any of its respective affiliates similar compensation in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithhereby.

No Brokers. No broker, finder finder, agent or similar intermediary is acting, or has acted for acted, for, or on behalf of the Company or of, any of its respective affiliates Subscriber in connection with this Agreement or the transactions contemplated hereby hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewiththerewith based on any agreement, arrangement or understanding with such Subscriber or any action taken by such Subscriber.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from such Seller in connection therewithwith this Agreement or the transactions contemplated hereby.

No broker, finder finder, agent or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates Purchaser in connection with this Agreement or the transactions contemplated hereby hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewiththerewith based on any agreement, arrangement or understanding with Purchaser.

No Brokers. No broker, finder or similar intermediary agent has acted for been employed by or on behalf of the Company, and no Person with which the Company or any Subsidiary has had any dealings or communications of its respective affiliates any kind, is entitled to any brokerage commission, finder’s fee or any similar compensation in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithTransactions.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from either of the Buyers in connection therewithwith, the Transaction Documents or the transactions contemplated thereby, in each case, with respect to which the Sellers will incur any liability.

No Brokers. No brokerNeither the Company, Seller, nor anyone acting on their behalf has directly or indirectly engaged the services of a broker or finder or similar intermediary has acted for other person who may be entitled to any brokerage fee or on behalf of the Company or any of its respective affiliates commission in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewithtransaction referenced herein.

No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from, the Sellers or any of the Company or its Subsidiaries in connection therewithwith this Agreement or the transactions contemplated hereby.

No broker, finder or similar intermediary has acted for or on behalf of the any Company or any of its respective affiliates Entity in connection with this Agreement or the transactions contemplated hereby Contemplated Transactions, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewiththerewith based on any agreement with any Company Entity or any action taken by them.

No Brokers. No broker, finder finder, agent or similar intermediary has acted for or on behalf of the Company or any of its respective affiliates Buyer in connection with this Agreement or the transactions contemplated hereby hereby, and no other broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewiththerewith based on any agreement, arrangement or understanding with Buyer.

No Brokers. No broker, finder finder, agent or similar other intermediary has acted for or on behalf of the Company Purchaser or any of its respective affiliates otherwise assisted in connection with this Agreement or bringing about the transactions contemplated hereby by this Agreement and no broker, finder, agent or similar other intermediary is entitled to any broker’s, commission or finder’s fee in respect thereof based in any way on agreements, understandings or similar fee arrangements with or other commission in connection therewiththe conduct of Purchaser.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from Parent or Merger Sub in connection therewithwith this Agreement or the transactions contemplated hereby other than ▇.▇. ▇▇▇▇▇▇ Limited and Barrington Partners LLC.

No Brokers. No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from, the Sellers in connection therewithwith this Agreement or the transactions contemplated hereby.

No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from the Buyer in connection therewithwith this Agreement or the transactions contemplated hereby, other than ▇▇ ▇▇▇▇▇▇ Securities Inc. and Evercore Partners.

No broker, finder or similar intermediary has acted for or on behalf of the Company of, or any of its respective affiliates in connection with this Agreement or the transactions contemplated hereby and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission from the Group Companies in connection therewithwith the Transaction Documents or the transactions contemplated thereby.
