No Code Violation or Past Due Debt. The Consultant warrants and represents that neither the business, nor any officer or significant stakeholder of the business is in violation of the County of Volusia Code of Ordinances, and does not owe the County any past due debt. Any breach of the foregoing warranty and representation shall be a material breach of this Contract and the County shall have the right to terminate this Contract as set forth herein.

Contractor shall have a continuing obligation under this Agreement to ensure that neither the business, nor any officer or significant stakeholder thereof is in violation of the Volusia County Code of Ordinances, violates the Volusia County Code of Ordinances or otherwise owes the County a past due debt. Any breach of the foregoing warranty and representation shall be a material breach of this Agreement
