No Conflict; No Other Employment. During the period of Executive's employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive's duties hereunder, nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the Company; or (ii) accept any other full-time or substantially full-time employment, whether as an executive or consultant or in any other capacity, and whether or not compensated therefor.

During the period of Executive's employment with the Company, Executive shall not: (i) not engage in any activity which conflicts or interferes with or derogates from the performance of Executive's duties hereunder, nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the Company; or (ii) accept any other full-time or substantially full-time employment, whether as an executive or consultant or in any other capacity, and whether or not compensated therefor.

During Subject to Section 3, during the period of Executive's ’s employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive's ’s duties hereunder, hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profitprofit and including service as a director of any other company, except as approved in advance in writing by the Company; Company or (ii) accept or engage in any other full-time or substantially full-time employment, whether as an executive Executive or consultant or in any other capacity, and whether or not compensated therefor.

During the period of Executive's ’s employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive's ’s duties hereunder, hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profitprofit and including service as a director of any other company, except as approved in advance in writing by the Company; or (ii) accept any other full-time or substantially full-time employmentprovided, whether as an executive or consultant or in any other capacityhowever, that Executive shall be entitled to manage his personal investments and whether or not compensated thereforotherwise attend to personal affairs.

During the period of Executive's employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive's duties hereunderExecutives duties, hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the Board of Directors of the Company, such approval not to be unreasonably withheld; or (ii) accept any other full-time or substantially full-time employment, whether as an executive or consultant or in any other capacity, and whether or not compensated therefor.

During the period of Executive's ’s employment with the Company, Executive shall not: (i) not engage in any activity which conflicts or interferes with or derogates orderogates from the performance of Executive's ’s duties hereunder, hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the President & CEO of the Company; or (ii) accept any other full-time or substantially full-time employment, whether as an executive or consultant or in any other capacity, and whether or not compensated therefor.

During the period of Executive's employment with the Company, Executive shall not: (i) engage in any activity which conflicts or interferes with or derogates from the performance of Executive's duties hereunder, hereunder nor shall Executive engage in any other business activity, whether or not such business activity is pursued for gain or profit, except as approved in advance in writing by the CompanyBoard, except for Executive's investment in a soccer facility, which Executive may pursue without Board approval; or (ii) accept any other full-time or substantially full-time employment, whether as an executive or consultant or in any other capacity, and whether or not compensated therefor.
