No Consent; Court Order. (i) By either Party if any Governmental Authority which is required to grant its consent or approval as set forth on Schedule 3.1.4 or Schedule 3.2.4 shall have determined (1) not to grant its consent or approval pursuant to an order that shall have become final and non-appealable or (2) to grant its consent or approval on terms and conditions that are not substantially equivalent to those requested in the applications filed for such consent or approval, or (ii) by Seller or Buyer if a court of competent jurisdiction shall have issued an order or injunction permanently restraining or otherwise prohibiting the Closing, and such order or injunction shall have become final and non-appealable;

  • Court Orders ICANN will respect any order from a court of competent jurisdiction, including any orders from any jurisdiction where the consent or non-­‐objection of the government was a requirement for the delegation of the TLD. Notwithstanding any other provision of this Agreement, ICANN’s implementation of any such order will not be a breach of this Agreement
