Competent Court. The Court of Milan shall have jurisdiction over any dispute arising out of this offer to purchase.

2. If the dispute is not resolved even after consultation, the Tokyo District Court shall have exclusive jurisdiction of the first instance.

21.2 Article 21.1 shall leave intact the right of FUJIFILM to choose to have a dispute settled by the court having competent jurisdiction pursuant to the law.
