No Deductions or Set-Offs. All amounts payable to CiteRight under this Agreement shall be paid by Customer to CiteRight in full without any set-off, recoupment, counterclaim, deduction, debit or withholding for any reason (other than any deduction or withholding of tax as may be required by applicable Law or any deduction for any amounts disputed by Customer in good faith).
