Additional Customer Representations, Warranties and Covenants. Customer represents, warrants, and covenants to Provider that Customer owns or otherwise has, and will have, the necessary rights and consents in and relating to the Customer Data so that, as received by Provider and Processed in accordance with this Agreement, they do not and will not infringe, misappropriate, or otherwise violate any IP Rights, or any privacy or other rights of any third party or violate any applicable Law.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants and covenants to CiteRight that Customer owns or otherwise has, and will have, the necessary rights and consents in and relating to the Customer Data so that, as received by CiteRight and Processed in accordance with this Agreement, they do not and will not infringe, misappropriate or otherwise violate any IP Rights,
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants and covenants to iManage, during the Agreement Term, that (a) Customer is responsible for use of the Services by Authorized Users, and for ensuring that Authorized Users comply with the terms of this Agreement, (b) Customer owns or otherwise has and will have the necessary rights and consents in and relating to Customer Data as necessary in order to grant the rights to iManage contemplated by this Agreement, and (c) iManage’s Processing (as defined below) of Customer Data in accordance with the terms hereof does not, and will not, cause iManage to suffer any liability for violation of a third party’s rights, or violation of any applicable Law.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants and covenants to HP that Customer owns or otherwise has and will have the necessary rights and consents in and relating to the Customer Data so that, as received by HP and Processed in accordance with this Agreement, they do not and will not infringe, misappropriate or otherwise violate any Intellectual Property Rights, or any privacy or other rights of any third party or violate any applicable Law.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants and covenants to KLaunch that Customer owns, has licensed, and/or otherwise has obtained the rights to use the Customer data and the necessary and appropriate consents in and relating to the Customer Data so that, as received by KLaunch and processed in accordance with this Agreement and/or in any way contemplated or agreed upon pursuant to this Agreement, they do not and will not infringe, misappropriate or otherwise violate any Intellectual Property Rights, or any privacy or other rights of any third party or violate any applicable Law.
Additional Customer Representations, Warranties and Covenants. As at Closing, Customer further represents, warrants and covenants to Provider (and acknowledges that Provider is relying on such representations, warranties and covenants in connection with entering into this Agreement) that:
(a) it has (or will have) a valid and enforceable right of access to and use of land at each Physical Location by legally binding lease, hosting or agreement with similar effect and is in good standing under such agreement(s) with the respective Physical Location provider(s) and it will not do or cause to be done, or omit to do, anything that would constitute a material breach of such agreement(s);
(b) it has entered into and maintains legally binding energy supply agreements with appropriate providers under which MW are deliverable and accessible at each Physical Location in sufficient amounts for any Statement of Work issued under this Agreement;
(c) this Agreement and each Statement of Work, when executed, are legal, valid and binding obligations of Customer (or its Affiliates, as applicable); and
(d) there are no material outstanding litigation, arbitration or other disputed matters to which Customer is a Party which may have a material adverse effect upon the payment for the Services, the Provider Materials or the fulfilment of Customer’s responsibilities and obligations pursuant to this Agreement or any Statement of Work. Customer will inform Provider in the event that any material litigation, arbitration or other disputed matter occurs, or is reasonably likely to occur, which will have a material adverse effect upon the payment for the Services, the Provider Materials or the ability of the Customer to fulfill its obligations under this Agreement.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants and covenants to KSG that Customer owns or otherwise has and will have the necessary rights and consents in and relating to the Customer Data so that, as received by KSG and Processed in accordance with this Agreement, they do not and will not infringe, misappropriate or otherwise violate any Intellectual Property Rights, or any privacy or other rights of any third party or violate any applicable Law.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants and covenants to iManage, during the Agreement Term, that (a) Customer owns or otherwise has and will have the necessary rights and consents in and relating to Customer Data as necessary in order to grant the rights to iManage contemplated by this Agreement, and (b) the storage and processing of Customer Data does not and will cause iManage to suffer any liability for infringement of a third party’s rights, violation of the privacy of any third party or any civil or criminal liability.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants, and covenants to Supplier that Customer (i) has complied with all applicable laws and regulations, including but not limited to those applicable to the collection and use of Customer Data in connection with this Agreement, and (ii) owns or otherwise has and will have the necessary rights and consents in and relating to the Customer Data so that, as received by Supplier and processed in accordance with the Agreement, including any DPA, they do not and will not infringe, misappropriate, or otherwise violate any IP Rights, or any privacy or other rights of any third party or violate any applicable law or regulation. To the extent that any Customer Data was collected first by a third-party, such as a data broker, Customer further represents, warrants, and covenants to Supplier that it has a written agreement with any such third-party which requires that third- party to comply with all applicable laws and regulations, including but not limited to those applicable to the collection and use of the data obtained from that third-party.
Additional Customer Representations, Warranties and Covenants. Customer represents, warrants, and covenants to Supplier that Customer (i) has complied, and will continue to comply, with all applicable laws and regulations, including but not limited to those applicable to the collection and use of Customer Data in connection with this Agreement, and (ii) owns or otherwise has and will have the necessary rights and consents in and relating to the Customer Data so that, as received by Supplier and processed in accordance with the Agreement, including any Privacy Agreements, Supplier’s use of the Customer Data does not and will not infringe, misappropriate, or otherwise violate any IP Rights, privacy rights, or any other rights of a third party, or violate any applicable law or regulation.
