Common use of No Distribution of Offering Materials Clause in Contracts

No Distribution of Offering Materials. None of the Partnership Entities has distributed or, prior to the later to occur of the Delivery Date and completion of the distribution of the Notes, will distribute any offering material in connection with the offering and sale of the Notes other than any Preliminary Prospectus, the Prospectus, any Issuer Free Writing Prospectus to which the Representatives have consented in accordance with Section 1(i) or 4(f) and any Issuer Free Writing Prospectus set forth in Annex 2 hereto.

No Distribution of Offering Materials.
