Common use of No Distribution of Offering Materials Clause in Contracts

No Distribution of Offering Materials. The Issuers will not, and will use their commercially reasonable efforts to cause their affiliates or anyone acting on their or their affiliates’ behalf (other than the Initial Purchasers and their affiliates, as to whom the Issuers make no covenant) not to, distribute prior to the Closing Date any offering material in connection with the offer and sale of the Securities other than the Preliminary Offering Memorandum, the Pricing Supplement and the Final Offering Memorandum. Before communicating any Issuer Written Communication to any person other than the Initial Purchasers and their counsel, the Company will furnish to the Representatives and counsel for the Initial Purchasers a copy of such written communication for review and will not communicate to any such third party any such written communication to which the Representative reasonably objects.
