No Effect on DDA Obligations. Under the Release of DDA, the Agency and Developer, among other things, terminate the DDA with respect to Block 49, except for any rights or obligations expressly stated in the DDA to survive any termination thereof. Nothing in this Agreement shall limit or modify in any way any of the rights and obligations of the Agency or Developer under the DDA with respect to Block 49 that so survive (for the avoidance of doubt, including any obligations under the DDA for repairs or replacement of any latent or other defects in the Infrastructure or site preparation work performed by Developer or its agents on the Property). Furthermore, (i) nothing in this Agreement shall limit or modify in any way any of the rights and obligations of the Agency and Developer under the DDA with respect to real property other than Block 49 and (ii) nothing in this Agreement shall limit or modify section 1 of the Sixth Amendment (for the avoidance of doubt, including the 450 Unit Requirement).

  • Effect on Contract Except as specifically required to implement the purposes of this Section of the Contract, all other terms of the Contract shall remain in force and effect.

  • Effect on Agreement Other than as specifically amended herein, the Agreement shall remain in full force and effect.

  • Financial Consequences of Non-Performance If the corrective action plan is unacceptable to the Department or Customer, or fails to remedy the performance deficiencies, the Contractor will be assessed a non-performance retainage equivalent to 10% of the total invoice amount or as specified in the Contract. The retainage will be applied to the invoice for the then-current billing period. The retainage will be withheld until the Contractor resolves the deficiency. If the deficiency is subsequently resolved, the Contractor may invoice the Customer for the retained amount during the next billing period. If the Contractor is unable to resolve the deficiency, the funds retained will be forfeited.

  • Effect on Benefits a. Employees on Family and Medical Leave shall be covered by District Life Insurance Group Coverage and Hospital-Medical, Dental, Vision Group Coverage as though they were in active service.

  • No Effect Failure by the Company to comply with any of the obligations set forth above shall not affect the status of the Company as a separate legal entity, with its separate assets and separate liabilities.

  • NON ASSIGNABILITY & SURVIVABILITY OF OBLIGATIONS This Agreement may not be assigned without the written consent of both parties. Seller does not at this time anticipate consenting to any assignment of this Agreement or Buyer’s rights hereunder. But if so assigned, each transferee shall be obligated under this Agreement in the same manner as its transferor and each transferor shall remain liable for it unless specifically stated otherwise in writing.
