No Effect on Liability. None of (i) the consummation of the transactions contemplated by this Agreement or the Related Agreements, (ii) the delay or omission of any party to exercise any of its rights under this Agreement or any Related Agreement or (iii) any investigation or disclosure that any party makes, any notice that any party gives, or any knowledge that any party obtains as a result thereof, or otherwise, shall (A) affect the liability of the parties to one another for Breaches (defined below) of this Agreement or any Related Agreement or (B) prevent any party from relying on the representations or warranties contained in this Agreement or any Related Agreement.

No Effect on Liability. None of (i) the consummation of the transactions contemplated by this Agreement or the Related Agreements, (ii) the delay or omission of any party to exercise any of its rights under this Agreement or any Related Agreement or (iii) any investigation or disclosure that any party makes, any notice or certificate that any party gives, or any knowledge that any party obtains as a result thereof, or otherwise, shall (A) affect the liability of the parties to one another for Breaches (defined below) of this Agreement or any Related Agreement or (B) prevent any party from relying on the representations or warranties contained in this Agreement or any Related Agreement.

No Effect on Liability. None of (ia) the consummation of the transactions contemplated by this Agreement or the Related Agreements, (iib) the delay or omission of any party to exercise any of its rights under this Agreement or any Related Agreement or (iiic) any investigation or disclosure that any party makes, any notice that any party gives, or any knowledge that any party obtains as a result thereof, or otherwise, shall (Ai) affect the liability of the parties to one another for Breaches (defined below) any breach of this Agreement or any Related Agreement or (Bii) prevent any party from relying on the representations or warranties contained in this Agreement or any Related Agreement.

No Effect on Liability. None of (i) the consummation of the transactions contemplated by this Agreement or the Related Other Agreements, (ii) the delay or omission of any party to exercise any of its rights under this Agreement or any Related Other Agreement or (iii) any investigation or disclosure that any party makes, any notice that any party gives, or any knowledge that any party obtains as a result thereof, or otherwise, shall (A) affect the liability of the parties to one another for Breaches (defined below) breaches of this Agreement, any Other Agreement or any Related Agreement related agreement between the parties hereto, or (B) prevent any party from relying on the representations or warranties contained in this Agreement, any Other Agreement or any Related Agreementrelated agreement between the parties hereto.

No Effect on Liability. None of (i) the consummation of the transactions contemplated by this Agreement or the Related Agreements, or (ii) the delay or omission of any party to exercise any of its rights under this Agreement or any Related Agreement or (iii) any investigation or disclosure (other than in Disclosure Schedules with regard solely to the representations and warranties with respect to which such Disclosure Schedule information relates) that any party makes, any notice that any party gives, or any knowledge that any party obtains as a result thereof, or otherwise, shall (A) affect the liability of the parties to one another for Breaches any Breach (defined below) of this Agreement or any Related Agreement or (B) prevent any party from relying on the representations or warranties contained in this Agreement or any Related Agreement.

No Effect on Liability. None of (ia) the consummation of the transactions contemplated by this Agreement or the Related Agreements, (iib) except as provided in Section 10.1.3, the delay or omission of any party to exercise any of its rights under this Agreement or any Related Agreement or (iiic) any investigation or disclosure that any party makes, any notice that any party gives, or any knowledge that any party obtains as a result thereof, or otherwise, otherwise shall (Ai) affect the liability of the parties to one another for Breaches (defined below) any Breach of this Agreement or any Related Agreement or (Bii) prevent any party from relying on the representations or warranties contained in this Agreement or any Related Agreement.

No Effect on Liability. No Effect on Liability.
