Common use of No Effect on R&W Policy Clause in Contracts

No Effect on R&W Policy. Notwithstanding anything to the contrary contained herein, no limitations (including any survival limitations and other limitations set forth in this Section 12), qualifications or procedures in this Agreement shall be deemed to limit or modify the ability of Buyer or the Buyer Indemnified Parties to make claims under or recover under the R&W Policy; it being understood that any matter for which there is coverage available under the R&W Policy shall be subject to the terms, conditions and limitations, if any, set forth in the R&W Policy.

Notwithstanding anything to the contrary contained herein, no limitations (including any survival limitations Survival Periods and other limitations set forth in this Section 12Article X), qualifications or procedures in this Agreement shall be deemed to limit or modify the ability of Buyer or the Buyer Indemnified Parties Purchaser to make claims under or recover under the R&W Policy; it being understood that any matter for which there is coverage available under the R&W Policy shall be subject to the terms, conditions and limitations, if any, set forth in the R&W Policy.
