No broker, finder, investment banker, banker or financial adviser or other Person advisor is entitled to any broker’sbrokerage, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement or the Merger Agreement based upon arrangements made by Stockholderor on behalf of Shareholder that is or will be payable by Parent, the Company or any of their respective Subsidiaries.

No broker, investment banker, financial adviser advisor or other Person is entitled to any broker’s, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by the Merger Agreement or this Agreement based upon arrangements made by or on behalf of the Stockholder.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of the Stockholder.

No broker, investment banker, financial adviser advisor, finder, agent, or other Person is entitled to any broker’s, finder’s, financial adviser’s advisor’s, or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby Merger Agreement based upon arrangements made by Stockholderor on behalf of the Interest Holder in its capacity as such.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of the Stockholder. The Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, investment banker, financial adviser or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder Parent, Merger Sub or the Company or its Subsidiaries in connection with the transactions contemplated hereby by the Merger Agreement, by the Subsidiary Transfer Agreement or by this Agreement (or in connection with the transactions contemplated thereby or hereby) based upon arrangements made by Stockholder in its capacity as a Stockholder.

No broker, investment banker, financial adviser advisor, finder, agent or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby this Agreement based upon arrangements made by or on behalf of the Stockholder in the Stockholder’s capacity as such.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Signatory Stockholder. Such Signatory Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, investment banker, financial adviser advisor, finder, agent or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder the Company or any Company Subsidiary in connection with the transactions contemplated hereby this Agreement based upon arrangements made by Stockholderor on behalf of the Shareholder in his or her capacity as such.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Support Agreement and, if executed by Securityholder, Proxy based upon arrangements made by Stockholderor on behalf of Securityholder.

No broker, investment banker, financial adviser or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder Parent, Purchaser or the Company in connection with the transactions contemplated hereby based upon arrangements made by Stockholder.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviseradvisor’s or other similar fee or commission from in connection with this Agreement based upon arrangements made by or on behalf of such Stockholder. Such Stockholder, on behalf of itself and its Affiliates, hereby acknowledges that neither such Stockholder nor any of its Affiliates is entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated hereby based upon arrangements made or by Stockholderthe Merger Agreement.

No broker, investment banker, financial adviser advisor, finder, agent or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby this Agreement based upon arrangements made by Stockholderor on behalf of such Covered Stockholder in his or its capacity as a stockholder of the Company.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder. Such Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, finder, investment banker, banker or financial adviser or other Person advisor is entitled to any broker’sbrokerage, finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement or the Merger Agreement based upon arrangements made by Stockholderor on behalf of Shareholder that is or will be payable by Parent, the Company or any of their respective Subsidiaries.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder Parent, the Company or any of their affiliates in connection with the transactions contemplated hereby by this Agreement based upon arrangements any arrangement or agreement made by or on behalf of the Stockholder.

No broker, investment banker, financial adviser advisor or other Person is entitled to payment from the Company or Parent or any of their respective Subsidiaries of any broker’s's, finder’s's, financial adviser’s 's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholder.

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Major Stockholder. Such Major Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of the Stockholder. The Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, finder or investment banker, financial adviser or other Person banker is entitled to any broker’sbrokerage, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by Stockholderor on behalf of Shareholder.

Such Stockholder hereby acknowledges that he or she is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No Finder’s Fees. No broker, finder, investment banker, banker or financial adviser or other Person advisor is entitled to any broker’sbrokerage, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement or the Merger Agreement based upon arrangements made by Stockholderor on behalf of such Shareholder that is or will be payable by Parent, Merger Sub, the Company or any of their respective Subsidiaries.

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person is entitled to payment from the Company or Parent or any of their respective Subsidiaries of any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholder.

No Finder’s Fees. No broker, investment banker, financial adviser advisor ---------------- or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s 's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of Stockholder.. Each Shareholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, investment banker, financial adviser advisor or other Person is person shall be entitled to any broker’s, 's finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, finder, investment banker, banker or financial adviser or other Person advisor is entitled to any broker’sbrokerage, finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement or the Purchase Agreement based upon arrangements made by Stockholderor on behalf of such Stockholder that is or will be payable by Purchaser, the Company or any of their respective Subsidiaries.

No broker, investment banker, financial adviser advisor ---------------- or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s 's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by Stockholderor on behalf of such Company Shareholder.

No broker, investment banker, financial adviser advisor, finder, agent or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby this Agreement based upon arrangements made by Stockholder.or on behalf of the Shareholder in his or her capacity as such.(f)

No Finder’s Fees. No broker, investment banker, financial adviser advisor, finder, agent or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby this Agreement based upon arrangements made by Stockholderor on behalf of such Covered Stockholder in his, her or its capacity as a stockholder of the Company.

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by the Merger Agreement or this Agreement based upon arrangements made by or on behalf of the Stockholder in such Stockholder’s capacity as such.

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from payable by the Stockholder in connection with the transactions contemplated hereby by the Merger Agreement or this Agreement based upon arrangements made by or on behalf of the Stockholder (in the Stockholder’s capacity as a stockholder of the Company).

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder. Such Stockholder hereby acknowledges that he or she is not entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No Finder’s Fees. No broker, investment banker, ---------------- financial adviser advisor or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s 's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by Stockholderor on behalf of Seller.

No broker, investment banker, financial adviser or other Person person is entitled to any broker’s's, finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by Stockholderor on behalf of a Shareholder. Each Shareholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby hereby, other than as disclosed in the Option Agreement, based upon the arrangements made by or on behalf of such Stockholder.

No broker, investment banker, financial adviser advisor or other Person person is entitled to any broker’s, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of Stockholder. Stockholder, on behalf of itself and its affiliates, hereby acknowledges that it is not entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated hereby, by the Stock Purchase Agreement or by the Note Purchase Agreement.

No broker, investment banker, financial adviser advisor, finder, agent or other Person is entitled to any broker’s, finder’s, financial adviser’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby this Agreement based upon arrangements made by Stockholderor on behalf of Stockholder in his, her or its capacity as such.

The Stockholder, on behalf of itself and the Stockholder's affiliates, hereby acknowledges that the Stockholder is not entitled to receive any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby or by the Merger Agreement.

No broker, investment banker, financial adviser advisor or other Person is person shall be entitled to any broker’s, 's finder’s's, financial adviser’s advisor's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby based upon arrangements made by Stockholderor on behalf of MDP.

No Finder’s Fees. No broker, investment banker, financial adviser advisor or other Person is entitled to payment from any Stockholder or any of its Controlled Affiliates of any broker’s's, finder’s's, financial adviser’s 's or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by Stockholderor on behalf of Parent.

No Finder’s Fees. No broker, finder, investment banker, banker or financial adviser or other Person advisor is entitled to any broker’sbrokerage, finder’s, financial adviseradvisor’s or other similar fee or commission from Stockholder in connection with the transactions contemplated hereby by this Agreement or the Merger Agreement based upon arrangements made by Stockholderor on behalf of such Stockholder that is or will be payable by Parent, Acquisition Sub, the Company or any of their respective Subsidiaries.
