No Fractional Shares or Options. Notwithstanding any other provision of this Plan of Arrangement, no fractional Rio Grande Common Shares will be distributed to the Foremost Shareholders and no fractional Rio Grande Common Shares will be distributed by Rio Grande upon the exercise of Rio Grande Warrants or Rio Grande Options following the Effective Time. As a result, all fractional amounts arising under this Plan of Arrangement will be rounded down to the next whole number without any compensation therefor. Any securities not distributed as a result of rounding down will be cancelled by Foremost or Rio Grande, as the case may be.
No Fractional Shares or Options. No certificates or scrip representing fractional Gxxxxx Lake Common Shares or Gxxxxx Lake Options will be issued to former holders of Mexgold Common Shares or Mexgold Options and no dividend, stock split or other change in the capital structure of Gxxxxx Lake shall relate to any such fractional security and such fractional interests shall not entitle the holder thereof to vote or to exercise any rights as a security holder of Gxxxxx Lake. In the event that the consideration specified in Section 2.2 would otherwise result in a Mexgold Shareholder being entitled to a fractional Gxxxxx Lake Common Share the number of Gxxxxx Lake Common Shares issuable to such Mexgold Shareholder on the completion of the Arrangement will be rounded up (if the fractional interest is 0.5 or more) or down (if the fractional interest is less than 0.5) to the nearest whole number of Gxxxxx Lake Common Shares. In the event that the consideration specified in Section 2.2 would otherwise result in a Mexgold Optionholder being entitled to a fractional Gxxxxx Lake Option, such Mexgold Optionholder shall only receive that number of Gxxxxx Lake Options as it is entitled to receive pursuant to Section 2.2 rounded down to the nearest whole Gxxxxx Lake Option.

Notwithstanding any other provision of this Arrangement, while each Equinox Shareholder’s fractional shares and each holder of Equinox Option’s fractional options, respectively, will be combined, no fractional Solaris Shares shall be distributed to the Equinox Shareholders and no fractional Solaris Options shall be distributed to the holders of Equinox Options, and, as a result, all fractional amounts arising under this Plan of Arrangement shall be rounded down to the next whole number without any compensation therefor. Any Solaris Shares not distributed as a result of so rounding down shall be cancelled by Solaris.

Notwithstanding any other provision of this Arrangement, while each Shareholder’s fractional shares will be combined, no fractional Class A Shares or Spin-Out Shares will be distributed to the Shareholders and, as a result, all fractional amounts arising under this Plan of Arrangement will be rounded down to the next whole number without any compensation therefor. Any Class A Shares or Spin-Out Shares not distributed as a result of so rounding down will be cancelled by Bearing and Lions Bay, as applicable.

Notwithstanding any other provision of this Arrangement, while each Volt Shareholder’s fractional shares and each holder of Option’s fractional options, respectively, will be combined, no fractional Volt Class A Shares or Roughrider Shares will be distributed to the Volt Shareholders and no fractional Roughrider Options will be distributed to the holders of Options, and, as a result, all fractional amounts arising under this Plan of Arrangement will be rounded down to the next whole number without any compensation therefor. Any Volt Class A Shares or Roughrider Shares not distributed as a result of so rounding down will be cancelled by Roughrider.
No Fractional Shares or Options. Unless otherwise required by Section 407 of the CGCL, no fractional shares of Nettaxi Common Stock shall be issued in connection with the Merger, and no certificate or scrip for any such fractional shares shall be issued.
