Common use of No Governmental Entity of competent jurisdiction Clause in Contracts

No Governmental Entity of competent jurisdiction. shall have enacted, issued, promulgated, enforced or entered any statute, law, ordinance, rule, regulation, judgment, decree, injunction or other order (whether temporary, preliminary or permanent) that is in effect and prohibits consummation of the Merger, and no federal or state Governmental Entity shall have instituted any proceeding that is pending seeking any such judgment, decree, injunction or other order to prohibit the consummation of the Merger.

No Governmental Entity of competent jurisdiction. shall have enacted, issued, promulgated, enforced or entered any statute, law, ordinance, rule, regulation, judgmentexecutive order, decree, injunction or other order (whether temporary, preliminary or permanent) that which (i) is in effect and prohibits consummation (ii) has the effect of making the Merger, and no federal Merger illegal or state Governmental Entity shall have instituted any proceeding that is pending seeking any such judgment, decree, injunction or other order to prohibit the otherwise prohibiting consummation of the Merger.

No Governmental Entity of competent jurisdiction. shall have enacted, issued, promulgated, enforced or entered any statutetemporary restraining order, law, ordinance, rule, regulation, judgment, decree, initial or permanent injunction or other order (whether temporary, preliminary Judgment or permanent) other legal restraint or prohibition that is in effect and prevents, enjoins or otherwise prohibits consummation of the Merger, and no federal or state Governmental Entity shall have instituted any proceeding that is pending seeking any such judgment, decree, injunction or other order to prohibit the consummation of the Merger.; and
