No Injunction or Illegality. There shall be no law or Governmental Order in existence that prohibits the consummation of the transactions contemplated by this Agreement.

There must not be (i) with respect to the Initial Closing, any Law in effect that makes the consummation of a Substantial Portion of the Contemplated Transactions illegal or (ii) with respect to any Extension Closing, any Law in effect that makes the consummation of the transfer of the applicable Deferred Closing Assets in accordance with Section 2.6

There shall not be any law, regulation, administrative act or injunction in effect as of the Expiration Time issued by any Governmental Entity in the United States, Germany, the Netherlands, France, the United Kingdom, Portugal, Belgium, Switzerland or Luxembourg that shall prohibit or make illegal the consummation of the Offer or the Merger or the acquisition or ownership of the Deutsche Börse Shares or the NYSE Euronext Shares by Holdco.
