No Legal Restrictions. No statute, rule, regulation, or Order enacted, entered, promulgated, enforced or issued by any Governmental Entity or other legal restraint or prohibition preventing the consummation of the purchase and sale of the Interest or the entering into or performance of the material terms of the TSAs or the License shall be in effect.
No Legal Restrictions. Contractor has no legal restrictions that would preclude Contractor from working on St. Xxxxxxx projects.
No Legal Restrictions. No law shall be in effect which prohibits or restricts the consummation of the transaction hereunder, or which otherwise adversely affects the right or ability of the Company to own, operate or control the principal business or assets, in whole or material part.
No Legal Restrictions. Retailer or Green Dot, as the case may be, represents and warrants as of the Effective Date that no provision of Applicable Law materially and adversely affects its ability to conduct the Load Program in the states in which Participating Stores are located.

Retailer or Bank, as the case may be, represents and warrants as of the Effective Date that no provision of Applicable Law materially and adversely affects its ability to perform its obligations with respect to the Program in the states in which Participating Stores are located.
No Legal Restrictions. Neither Contractor nor Contractor’s owner or any employees of Contractor assigned to perform Services have any legal restrictions that would preclude them from performing Services.
No Legal Restrictions. The execution and delivery of this Agreement by the Company and the Sellers and the consummation of the transactions contemplated hereby do not and will not violate the articles of incorporation, bylaws or other governing documents of the Company, and, except where any such conflict, breach, default or violation would not have a material adverse effect on the Company, taken as a whole, the execution and delivery of this Agreement by the Company and the Sellers and the consummation of the transactions contemplated hereby do not and will not conflict with or result in any breach of (or create in any party the right to accelerate, terminate, modify or cancel) any terms, conditions or provisions of, or constitute a default under, or require the consent of any party to, or result in the imposition of any lien or encumbrance upon any asset or property of the Company pursuant to the terms and conditions of, any Contract to which the Company or Sellers is now a party or by which any of them or any of their respective properties, assets or rights may be bound or affected.
No Legal Restrictions. The Executive is not a party to any contract or subject to any other legal restriction that would prevent or restrict the Executive's employment by the Bank or Carver Bancorp, Inc. or prevent or restrict fulfillment of the termx xxx conditions of this Agreement.
No Legal Restrictions. Borrower is not subject to any legal restrictions that may directly or indirectly prevent it from executing and delivering this Agreement, or any Promissory Note, or from complying and performing under this Agreement and any Promissory Note.
No Legal Restrictions. There are no effective Laws of China, other applicable laws, or any agreements, contracts, or documents prohibiting or restricting the completion of this Transaction.
