No Litigation or Contrary Judgment. On the Closing Date there shall exist no valid Order, statute, rule, regulation, executive order, stay, decree, judgment or injunction which prohibits or prevents the consummation of the transactions contemplated by this Agreement.
No Litigation or Contrary Judgment. The Closing shall not violate any order, decree or judgment of any court or governmental body having competent jurisdiction.

On the Closing Date there shall exist no lawsuit or other claim or action in regard to foreign or U.S. federal, state, or local law or regulation (or any administrative proceeding or investigation) which could adversely affect the transfer of the Assets to Purchaser or interfere with the consummation of the transactions contemplated by this Agreement except as previously disclosed in this Agreement or the Schedules hereto. The Closing shall not violate any order, decree or judgment of any court or governmental body having competent jurisdiction.

Purchaser shall have delivered the Purchase Price to Escrow Agent.

No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction, determination or other order that, in each case, restrains, enjoins or otherwise prohibits consummation of the Transactions or makes illegal the consummation of the Transactions.
