No obligation to complete. Without prejudice to any other right or remedy available to the Purchaser, the Purchaser shall not be obliged to proceed with Completion unless the Seller complies with the requirements of clause 12.2 (Seller's Obligations).
No obligation to complete. Neither the Sellers nor the Purchaser shall be obliged to complete the sale or purchase of any of the Shares unless all of the Shares are sold and purchased simultaneously.
