No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgment, decree, executive order injunction or award other Governmental Order which is then in effect and has the effect of making the Transactions, including the Merger, transactions contemplated by this Agreement illegal or otherwise prohibiting consummation of the Transactions, including the Mergersuch transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award which Order that is then in effect and has the effect of making prohibiting the Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order Law or award Governmental Order which is then in effect and has the effect of making the Transactions, including the Merger, illegal or otherwise enjoining or prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order Law or award taken any other action after the date of this Agreement which is then in effect and has the effect of making the Transactionsrestraining, including the Merger, illegal enjoining or otherwise prohibiting the consummation of the Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award which that is then in effect and has the effect of making the Transactions, including the Merger, Merger illegal or otherwise restricting, preventing or prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order Governmental Order or award Law which is then in effect and has the effect of making the Transactions, including transactions contemplated by this Agreement or any of the Merger, Ancillary Agreements illegal or otherwise prohibiting or restricting consummation of the Transactions, including the Mergersuch transactions.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Merger, Mergers illegal or otherwise prohibiting consummation of the Transactions, including the MergerMergers.

No Order. No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Merger, Transactions illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced promulgated or entered any LawOrder to enjoin, rule, regulation, judgment, decree, executive order restrict or award which is then in effect prohibit the purchase and has sale of the effect of making Purchased Assets or the Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the MergerTransaction.

No Order. No Governmental Authority shall have obtained, enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgmentexecutive order, decree, executive order arbitration award, finding or award which Order (whether temporary, preliminary or permanent), in any case that is then in effect and has the effect of making the Transactions, including the Merger, illegal prevents or otherwise prohibiting prohibits consummation of the Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive Law or Order (including any temporary restraining order or award which preliminary injunction) that is then in effect and has the effect of making consummation of the Transactions, including the Merger, Merger illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award which decree, judgment, injunction, ruling or other order, whether temporary, preliminary or permanent (collectively, "Order"), that is then in effect and has the effect of making prohibiting the Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Transactions, including Mergers or otherwise imposing material limitations on the Mergerability of Merger Sub effectively to acquire or hold the business of the Company and the Company Subsidiaries.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award (an “Order”) (whether temporary, preliminary or permanent) which is then in effect and has the effect of enjoining, restraining, prohibiting, making the Transactions, including the Merger, illegal or otherwise prohibiting the consummation of the Merger or the other Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order Law or award Order which is then in effect and has the effect of making the Transactions, including the Merger, Merger illegal or otherwise prohibiting consummation of the Transactions, including the Merger.its consummation; and

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgmentinjunction, decreeorder, executive order decree or award ruling (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the Transactions, including the Merger, Merger illegal or otherwise restricting, preventing or prohibiting consummation of the Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Exchanges and the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Exchanges and the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award which is then in effect and has that makes the effect of making the Transactions, including the Merger, Merger illegal or otherwise prohibiting prohibits consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Blocker Mergers and the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Blocker Mergers and the Merger.

No Governmental Authority shall have enacted, issued, promulgated, issued or enforced or entered any Law, rule, regulation, judgment, decree, executive order or award Governmental Order which is then pending or in effect and has or would have the effect of making the Transactions, including the MergerMergers, illegal or otherwise prohibiting consummation of the Transactions, including the MergerMergers.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award Order which is then in effect and which has the effect of making the Transactions, including the Merger, Merger illegal or otherwise prohibiting consummation of the Transactions, including Merger or the Mergerother Transactions contemplated herein.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award which that is then in effect and has the effect of making the Transactions, including the Merger, Merger illegal or otherwise restricting, preventing or prohibiting consummation of the Merger or the Transactions; provided, including however, that the Mergerparties hereto shall use their reasonable commercial efforts to have any such restraint vacated.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order Law or award Governmental Order which is then in effect and has the effect of making the Transactions, including the MergerMerger Steps, illegal or otherwise prohibiting consummation of the Transactions, including the MergerMerger Steps.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgmentexecutive order, decree, executive injunction, order or award other legal restraint (whether temporary, preliminary or permanent) which is then in effect and which has the effect of making the Transactions, including the Merger, Merger illegal or otherwise prohibiting or preventing consummation of the Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive writ, injunction, determination, order or award which is then in effect and has the effect of making the Transactions, including the any Blocker Merger, any Consolidation Merger or any other Transaction illegal or otherwise prohibiting consummation of any Blocker Merger, any Consolidation Merger or any of the other Transactions, including the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgment, decree, executive order injunction or award other Governmental Order which is then in effect and has the effect of making the Transactions, including the Merger, transactions contemplated by this Agreement illegal or otherwise restraining or prohibiting consummation of the Transactions, including the Merger.such transactions;

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgmentexecutive order, decree, executive judgment, injunction or other order (whether temporary, preliminary or award permanent) which is then in effect and which has the effect of preventing, enjoining, restraining, prohibiting or otherwise making the Transactions, including Transaction Documents or the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the MergerTransactions illegal.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered amended any Law, rule, regulation, judgment, decree, executive order or award demand (an "Order") which is then in effect and has the effect of making the Transactions, including the Merger, Merger illegal or otherwise prohibiting consummation of the Transactions, including the Merger.;

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgment, decree, executive order injunction or award other Governmental Order which is then in effect and has the effect of making the Transactions, including transactions contemplated by any of the Merger, Transaction Documents illegal or otherwise prohibiting consummation of the Transactions, including the Mergersuch transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award Governmental Order which is then in effect and has the effect of making the Transactions, including transactions contemplated by this Agreement or any of the Merger, Ancillary Agreements illegal or otherwise prohibiting consummation of the Transactionssuch transactions, including any adverse effect on the Mergerright or ability of Parent, Buyer or any of their respective Affiliates to own, operate, possess or transfer the Purchased Assets after the Closing.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award (an “Order”) which is then in effect and has the effect of making the Transactions, including Merger or the Merger, other Transactions illegal or otherwise prohibiting consummation of the Merger or the other Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award Order which is then in effect and has the effect of making the Transactions, including the Merger, Transactions illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award Law which is then in effect and has the effect of making the Transactions, including the Merger, Arrangement illegal or otherwise preventing or prohibiting consummation of the Transactions, including the MergerArrangement.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawstatute, rule, regulation, judgmentexecutive order, decree, executive injunction, order or award other legal restraint (whether temporary, preliminary or permanent) which is then in effect and which has the effect of making the Transactions, including the Merger, any of the Related Agreements or any of the Transactions contemplated hereby or thereby illegal or otherwise prohibiting or preventing the consummation of the TransactionsMerger, including any of the MergerRelated Agreements or any of the Transactions contemplated hereby or thereby.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Spartan Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Spartan Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Merger Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Merger Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawlaw, rule, regulation, judgment, decree, executive order or award Order which is then in effect and has the effect of making the Transactions, including the Merger, Acquisition illegal or otherwise prohibiting consummation of the Transactions, including the MergerAcquisition.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the MergerCompany Amalgamation and, illegal or otherwise prohibiting consummation of the Transactions, including the MergerCompany Amalgamation.

No Governmental Authority shall will have enacted, issued, promulgated, enforced or entered into any Lawstatute, rule, regulation, judgment, decree, executive injunction or other order or award which that is then in effect and has the effect of making the Transactions, including the Merger, Merger Transaction illegal or otherwise restraining or prohibiting consummation of the Transactions, including the Mergerits consummation.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order Law or award Governmental Order which is then in effect and has the effect of making the Transactions, including the Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive writ, injunction, determination, order or award which is then in effect and has the effect of making the Transactions, including the Merger, Transactions illegal or otherwise prohibiting consummation of the Transactions, including the Merger.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award which is then in effect and has the effect of making the Transactions, including the Tender Offer and Merger, illegal or otherwise prohibiting consummation of the Transactions, including the Tender Offer or the Merger.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Lawdecision, rule, regulation, judgmentinjunction, decree, executive order ruling, Law or award which Order (whether temporary, preliminary or permanent) that is then in effect and has the effect of making the Transactions, including the Merger, illegal enjoins or otherwise prohibiting prohibits or makes illegal the consummation of the Transactions, including Merger or the Mergerother transactions contemplated by this Agreement.

No Governmental Authority shall have enacted, issued, promulgated, enforced enforced, or entered any LawLaw or Order (whether temporary, rulepreliminary, regulation, judgment, decree, executive order or award permanent) which is then in effect and has the effect of making the Transactionsenjoining, including the Mergerrestraining, illegal prohibiting, or otherwise prohibiting making illegal the consummation of the Transactions, including the Merger.
