No Other Representation and Warranties. Except for the representations and warranties contained in Article III and this Article IV, neither the Stockholders nor any representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of the Stockholders, or any representation or warranty arising from statute or otherwise at law with respect to the Stockholders. The Stockholders acknowledge that except for the representations and warranties contained in Article V, neither the Purchaser nor any representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of the Purchaser, or any representation or warranty arising from statute or otherwise at law with respect to the Purchaser.
No Other Representation and Warranties. Except for the representations and warranties contained in the Article IV, none of Parent or any Subsidiary or any representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of Parent, or any representation or warranty arising from statute or otherwise at law with respect to Parent or its Subsidiaries.
No Other Representation and Warranties. Except for the representations and warranties contained in Article III and this Article IV, neither such Stockholder nor any representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of such Stockholder, or any representation or warranty arising from statute or otherwise at law with respect to such Stockholder. Such Stockholder acknowledges that except for the representations and warranties contained in the Article V or under any Ancillary Agreement to which the Purchaser is a party, neither the Purchaser nor any representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of the Purchaser, or any representation or warranty arising from statute or otherwise at law with respect to the Purchaser.
No Other Representation and Warranties. Except for the representations and warranties set forth herein, the purchase and sale made hereunder are without recourse to Seller, and Seller and Purchaser make no further representations or warranties whatsoever, express or implied. Without limiting the generality of the foregoing, Purchaser and Seller make no representations or warranties about the Company or the Company’s business, prospects, financial condition or results of operations.
No Other Representation and Warranties. Except for the representations and warranties of Parent and Merger Sub in this Agreement, neither the Parent or Merger Sub is making nor has made, and no other person has made on behalf of Parent or Merger Sub, any express or implied representation or warranty in connection with this Agreement or the transactions contemplated hereby, and no other person is authorized to make any such representations and warranties on behalf of Parent or Merger Sub.
No Other Representation and Warranties. Except for the representations and warranties contained in this Article V, neither the Purchaser nor any representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of the Purchaser, or any representation or warranty arising from statute or otherwise at law with respect to the Purchaser. The Purchaser acknowledges that except for the representations and warranties contained in Article III and Article IV or under any Ancillary Agreement to which the Company or the Stockholder is a party, none of the Company, the Stockholder, nor representative thereof has made or makes any other express or implied representation or warranty, either written or oral, on behalf of the Company or the Stockholder, or any representation or warranty arising from statute or otherwise at law with respect to the Company or the Stockholder.
No Other Representation and Warranties. Except as set forth in this Agreement, neither Party makes any warranty whatsoever, either express or implied. All Services are provided on in "as is" basis. Both Parties expressly disclaim any and all warranties which could be implied in contract, in law or in equity, including but not limited to any implied warranty of merchantability or fitness for a particular purpose, or any dealing or course of performance, including, without limitation any warranty regarding correctness, quality, accuracy, completeness, reliability, or performance.
No Other Representation and Warranties. Except for the representations and warranties contained in this Article III, neither the Company nor any other Person has made or makes any other express or implied representation or warranty, either written or oral, on behalf of the Company, or any representation or warranty arising from statute or otherwise at law with respect to the Company. Except for the representations and warranties contained in this ARTICLE III, none of the Company Entities or any other Person has made or makes, and each of them hereby disclaims, any other express or implied representation or warranty, either written or oral, on behalf of the Company Group, including any representation or warranty as to the accuracy or completeness of any information regarding the Company Business furnished or made available to the Purchaser and its Representatives (including any information, documents or material delivered to the Purchaser or made available to the Purchaser in the Company’s data room, management presentations or in any other form in expectation of the transactions contemplated hereby) or as to the future revenue, profitability or success of the Company Group.
No Other Representation and Warranties. Seller makes no representation or warranty to Buyer with respect to the Assets, except as expressly set forth in this Agreement.
