No Pending Legal Proceedings. There are no legal, arbitral, governmental proceedings pending or, to the knowledge of the Company, threatened, to which the Company or any Significant Subsidiary is a party or to which any of the properties of the Company or any Significant Subsidiary is subject (A) other than proceedings described in all material respects in the Time of Sale Prospectus and the Prospectus, and proceedings that would not have a Material Adverse Effect on the Company or any Significant Subsidiary, taken as a whole, or on the power or ability of the Company to perform its obligations under this Agreement or to consummate the transactions contemplated by the Time of Sale Prospectus, or (B) that are required to be described in the Time of Sale Prospectus, the Prospectus, the Registration Statement and the ADS Registration Statement and are not so described.

There are no legal or governmental proceedings pending or, to the best knowledge of the Company, threatened, to which the Company or any of its Significant Subsidiaries is a party or to which any of the properties of the Company or any of its Significant Subsidiaries is subject that are required to be described in the Prospectus and are not so described.
No Pending Legal Proceedings. CONTRACTOR is not the subject of a current or threatened litigation that would or may materially affect CONTRACTOR’s performance under this Agreement.
No Pending Legal Proceedings. There is no action, suit, proceeding, inquiry or investigation before or brought by any court or governmental agency or body, domestic or foreign, now pending, or, to the knowledge of the Company, threatened, against or affecting the Company or the Subsidiary, which is required to be disclosed in the Registration Statement, the General Disclosure Package or the Prospectus that is not so disclosed as required.
No Pending Legal Proceedings. There is no lawsuits, claims, actions or legal proceedings pending or, to the knowledge of Sellers, threatened against or affecting the Company or any of its properties or assets, at law or in equity, nor do Sellers know of any reasonably likely basis for any such proceeding, the result of which could materially adversely affect the Company, its assets or the transactions contemplated hereby. There are presently no outstanding governmental orders of any governmental authority, court or any arbitrator against or affecting the Company or any of its properties or assets.

There are no legal or governmental proceedings pending or, to the best knowledge of the Company, threatened, to which the Company or any of its Significant Subsidiaries is a party or to which any of the properties of the Company or any of its Significant Subsidiaries is subject that are required to be described in the Time of Sale Prospectus, the Prospectus or the Japanese Securities Registration Statement and are not so described.
