There are no pending or, to the knowledge of the Company, threatened administrative, regulatory or judicial actions, suits, demands, demand letters, claims, liens, notices of non-compliance or violation, investigation or proceedings relating to any Environmental Laws against the Company.

Other than as described on Schedule 4.12, (i) no action, suit, proceeding or investigation has been instituted or, to the Borrower’s Knowledge, threatened in writing by any Governmental Authority or any other third party against the Borrower, Subsidiaries or the Projects which seeks to impair or restrain, in any material respect, or prohibit or invalidate, the transactions contemplated by the Material Project Documents to which such Person is a party or regarding the effectiveness or validity of any material Applicable Permit with respect to a Project and (ii) there are no outstanding injunctions, judgments, orders, decrees or rulings entered against the Borrower or Subsidiaries that seek to impair, restrain, prohibit or invalidate the transactions contemplated by the Operative Documents to which such Person is a party in any material respect. There are no condemnation proceedings by or before any Governmental Authority now pending or, to the Borrower’s Knowledge, threatened in writing with respect to the Projects, or sale of power therefrom or any portion thereof material to the ownership, leasing, management, operation or maintenance of the Projects or sale of power therefrom.

Other than as described on Schedule 6.11, (a) no action, suit, proceeding or investigation has been instituted or, to the Company’s Knowledge, threatened in writing by any Governmental Authority or any other third party against the Sponsor, the Company or the Project that could, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect, including any action, suit, proceeding or investigation which seeks to impair or restrain, or prohibit or invalidate, the transactions contemplated by the Material Project Documents or regarding the effectiveness or validity of any material Applicable Permit with respect to the Project and (b) there are no outstanding injunctions, judgments, orders, decrees or rulings entered against the Company or the Sponsor that seek to impair, restrain, prohibit or invalidate the transactions contemplated by the Operative Documents in any material respect. There are no Condemnation proceedings by or before any Governmental Authority now pending or, to the Company’s Knowledge, threatened in writing with respect to the Project, or sale of power therefrom or any portion thereof material to the ownership or operation of the Project or sale of power therefrom.
