No Pending or Threatened Proceedings. Other than as described on Schedule 4.12, (i) no action, suit, proceeding or investigation has been instituted or, to the Borrower’s Knowledge, threatened in writing by any Governmental Authority or any other third party against the Borrower, Subsidiaries or the Projects which seeks to impair or restrain, in any material respect, or prohibit or invalidate, the transactions contemplated by the Material Project Documents to which such Person is a party or regarding the effectiveness or validity of any material Applicable Permit with respect to a Project and (ii) there are no outstanding injunctions, judgments, orders, decrees or rulings entered against the Borrower or Subsidiaries that seek to impair, restrain, prohibit or invalidate the transactions contemplated by the Operative Documents to which such Person is a party in any material respect.
