Knowledge of the Company definition

Knowledge of the Company means the actual knowledge of Xxxx XxXxxxx, Xxxxx Xxxxxxxxxx, Xxxxx Xxxxxxx, Xxxxxx Xxxxxxxx, Xxxxx Xxxxxxx and Xxxx Xxxxxx, after reasonable due inquiry of such individuals’ applicable direct reports.

Knowledge of the Company means the actual knowledge of the individuals identified on Section 8.11(i) of the Company Disclosure Letter.

Knowledge of the Company means, with respect to any matter in question, the knowledge of the officers and directors of the Company.

Examples of Knowledge of the Company in a sentence

• As of the date of this Agreement, no airport authority at any airport at which the Debtors operate more than five (5) departures per day (each such airport, a “Company Airport”) has taken any action, nor, to the Knowledge of the Company, is any such action threatened, that would reasonably be expected to materially interfere with the ability of any Debtor to conduct its respective operations at any Company Airport in substantially the manner as currently conducted.

• No Legal Proceeding by or before any Governmental Entity or any arbitrator involving any of the Debtors or their respective Subsidiaries with respect to the Anti-Corruption Laws is pending or, to the Knowledge of the Company, threatened, and no Event has occurred or circumstances exist that may give rise to, or serve as a basis for, any such Legal Proceeding.

• No Legal Proceeding by or before any Governmental Entity or any arbitrator involving any of the Debtors or their respective Subsidiaries with respect to Money Laundering Laws is pending or to the Knowledge of the Company threatened and no Event has occurred or circumstances exist that may give rise to, or serve as a basis for, any such Legal Proceeding.

• There are not pending or, to the Knowledge of the Company, threatened any condemnation proceedings with respect to any Real Property.

• Other than as a result of the filing of the Chapter 11 Cases or any rejection motion filed by any of the Debtors in the Chapter 11 Cases, none of the Debtors nor, to the Knowledge of the Company, any other party to any Material Contract, is in material default or breach under the terms thereof, in each case, except for such instances of material default or breach that would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.

More Definitions of Knowledge of the Company

Knowledge of the Company means the actual knowledge of the Chief Executive Officer, the Chief Financial Officer and the General Counsel of the Company as of the date of this Agreement.

Knowledge of the Company means the actual knowledge of the executive officers of the Company.

Knowledge of the Company means the actual knowledge of any of Xxxxx Xxxxx, Jr., Xxxx Xxxxxxxx or Xxxxxxx Xxxxxx.

Knowledge of the Company means with respect to any matter in question the actual knowledge, after reasonable inquiry, of the individuals set forth on Annex II of the Company Disclosure Letter.

Knowledge of the Company means the actual knowledge of those Persons identified on Schedule 1.1(a).

Knowledge of the Company means the actual knowledge as of the date hereof of any fact, circumstance or condition of those officers of the Company set forth on Part 1.01(a) of the Company Disclosure Schedule after reasonable inquiry of those employees who report directly to such officers.

Knowledge of the Company means the actual knowledge of the directors and officers of the Company after reasonable investigation.
