No Promise. No promise, guarantee, or other representation has been made with respect to this Membership Agreement except as expressly stated herein and in the Articles and Bylaws. Member Applicant is not entering into this Membership Agreement nor providing an Initial Owner Investment in reliance on any promise, guarantee, or representation not stated in this Membership Agreement or the Articles and Bylaws.
No Promise. Each of the parties hereto acknowledges that no other party, nor any agent nor any attorney of any other party has made any promise, representation or warranty whatsoever, express or implied, not contained herein concerning the subject matter hereof to induce said party to execute or authorize the execution of this Agreement, and each of the parties hereto further acknowledges that said party has not executed or authorized the execution of this Agreement in reliance upon any such promise, representation or warranty not contained herein.

Xxxxxx confirms that there is no promise or guarantee by RxElite or anybody on its behalf as to the technical or commercial success of RxElite or as to the future value and/or marketability of its Common Stock, and there is no assurance or guarantee that forward-looking plans or projections, or planned products, will materialize or achieve the projected or expected results.
