No Restriction on MRSC's Accounting; Adjustments. This Exhibit Agreement shall not in any way interfere with the right of MRSC to select among, adopt or change accounting practices or procedures, whether or not such accounting practices or procedures have not been previously employed by MRSC, or to consummate any business investments, acquisitions or divestitures or to adopt any other policies or plans, at any time or from time to time in its sole and absolute discretion. In order to carry out the intent and purpose of this Exhibit Agreement, the CEO of MidAmerian may, in his sole and absolute discretion, make such adjustments to computations made pursuant to this Exhibit Agreement in connection with changes in accounting practices or procedures as he deems necessary or appropriate to prevent dilution or enlargements of the benefits provided pursuant to this Exhibit Agreement. Such adjustments may be in connection with changes in accounting practices and procedures, fundamental transactions and other matters of a similar nature.
