No Solicitation of Clients and Suppliers. I acknowledge the importance to the business carried on by the Company and the client and supplier relationships developed by it and the unique opportunity that my employment and my access to the Confidential Information offers to interfere with these relationships. Accordingly, I will not during my employment with the Company and for a period of one (1) year thereafter directly or indirectly contact or solicit or accept unsolicited business from any person who I know to be a prospective, current or former client or supplier of the Company for the purpose of selling to the client or buying from the supplier any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold or purchased by the Company during my employment with the Company or at the end thereof, as the case may be.

Accordingly, the Employee will not during the Employment Period and for a period of 2 years thereafter directly or indirectly, contact or solicit any person who the Employee knows to be a prospective, current or former client or supplier of Company for the purpose of selling to the client or buying from the supplier any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold or purchased by Company during the Employee's employment or at the end thereof, as the case may be.

Accordingly, the Employee will not during the Employment Period and for a period of 12 months thereafter directly or indirectly, contact or solicit any person who the Employee knows to be a prospective, current or former client or supplier of Corporation (who, in the case of a former client or supplier of the Corporation, has had dealings with the Corporation at any time during the 12 month period immediately prior to the end of the Employment Period) for the purpose of selling to the client or buying from the supplier any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold or purchased by Corporation during the Employee's employment or at the end thereof, as the case may be.

Accordingly, during the Restricted Period, I covenant and agree that I shall not after the termination of your employment or engagement with the Company, directly or indirectly, contact or solicit any person who I know to be a prospective, current or former client or supplier of the Company or any affiliate for the purpose of selling to such client or buying from such supplier any Company Business products or services.

You acknowledge the importance to the business carried on by Alloy and its Affiliates of the client and supplier relationships developed by it and them and the unique opportunity that your employment or engagement and your access to the Confidential Information offers to interfere with these relationships. Accordingly, you covenant and agree that you shall not after the termination of your employment or engagement with Alloy, directly or indirectly, contact or solicit any person who you know to be a prospective, current or former client or supplier of Alloy or any Affiliate for the purpose of selling to such client or buying from such supplier any Company Business products or services.

I acknowledge the importance to the business carried on by the Company and the client and supplier relationships developed by it and the unique opportunity that my employment and my access to the Confidential Information offers to interfere with these relationships. Accordingly, I will not during my employment with the Company and for a period of one (1) year thereafter directly or indirectly, on behalf of myself or any other person, firm, corporation, association or other entity other than the Company or its parents, subsidiaries, or affiliates, contact or solicit or accept unsolicited business from any person who I know to be a prospective, current or former client or supplier of the Company for the purpose of selling to the client or buying from the supplier any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold or purchased by the Company during my employment with the Company or at the end thereof, as the case may be.

The Executive acknowledges the importance to the business carried on by the EXFO Group of the client and supplier relationships developed by it and the unique opportunity that the Executive's employment and the Executive's access to the Confidential Information offers to interfere with these relationships. Accordingly, during the Employment Period and for the relevant period of time after the Termination Date as set out in Schedule "A", the Executive will not, directly or indirectly, contact or solicit any person who the Executive knows to be a prospective, current or former client or supplier of any entity in the EXFO Group for the purpose of (i) selling to the client any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold by entities in the EXFO Group; or (ii) buying from such supplier any products or services that are used or intended for use in any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold by entities in the EXFO Group, and in each case during the Executive's employment or at the end thereof, as the case may be.

The Executive acknowledges the importance to the business carried on by the Lorus Group of the client and supplier relationships developed by it and the unique opportunity that the Executive’s employment and the Executive’s access to the Confidential Information offers to interfere with these relationships. Accordingly, the Executive will not while employed or engaged by the Lorus Group and for the period of time specified in Schedule “A”, directly or indirectly, contact or solicit any person who the Executive knows to be a prospective, current or former client or supplier of the Lorus Group for the purpose of selling to the client or buying from the supplier any products or services that are the same as or substantially similar to, or in any way competitive with, the products or services sold or purchased by the Lorus Group during the Executive’s Employment or at the end thereof, as the case may be.

Accordingly, you covenant and agree that you shall not for a period of 12 months after the termination of your employment, directly or indirectly, contact or solicit any person who you know to be a prospective, current or former client or supplier of The Company or any Affiliate for the purpose of selling to such client or buying from such supplier any products or services for the benefit of any Competitive Business.
