Supplier Relationships. The provisions of this Code of Conduct set forth the expectations of all suppliers with whom IDLO does business. IDLO expects that these principles apply to suppliers, parent entities and subsidiary or affiliate entities, as well as all others with whom they do business including employees, subcontractors and other third-parties. IDLO expects suppliers to ensure that the rules and standards of this Code of Conduct are communicated to their employees and subcontractors.
Supplier Relationships. Section 4.18 of the Seller Disclosure Letter lists, for the twelve (12) months ended September 30, 2018, the names of the twenty (20) largest suppliers of goods and the twenty (20) largest suppliers of services to the Business measured by dollar value and sets forth opposite the name of each supplier the approximate total amount of purchases by the Business from such supplier during such period. As of the date hereof, no such supplier has (a) threatened in writing to terminate or adversely modify in any material respect, or to the Knowledge of Seller, has otherwise threatened to cancel, terminate or adversely modify in any material respect, the relationship of such supplier with the Business, or (b) threatened in writing to decrease materially or, to the Knowledge of Seller, has otherwise threatened to decrease materially its services or supplies to the Business.

Supplier Relationships a. Maintaining a Vendor Management Program to evaluate and mitigate risks for any third parties that host or process customer data.
Supplier Relationships. 10.1. The Supplier may engage sub-contractors to provide some or all of the Services, the Supplier shall perform appropriate due diligence and impose contractual obligations on the sub- contractor that are consistent to those contained in this Schedule.

13.2. Suppliers are subject to confidentiality and right to audit clauses within their contracts.
13.3. Suppliers are required to comply with ▇▇▇▇ & ▇▇▇▇▇▇’▇ Supplier Operating principles and suppliers of products/services which interact with R&M information systems or process personal data are contractually required to agree to our Supplier Information Security Requirements.
13.4. Suppliers are reviewed on a periodic basis. The nature, scope and frequency of this review depends on several factors including the product/service being provided and the supplier’s criticality.
13.5. Critical supplier resilience and recovery capabilities are formally reviewed on an annual basis as part of our Business Impact Analysis (BIA) of our BC recovery capabilities.
Supplier Relationships. Each of Nomaco and RBX shall diligently and in good faith use commercially reasonable efforts to include the other in their supplier relationships such that Nomaco and RBX may each be able to take advantage of the other party's pricing with such suppliers.

Section 4.22 of the Seller Disclosure Schedule lists, for the twelve months ended on the Balance Sheet Date, the names of the 10 largest suppliers of goods to the Business (such suppliers, the “Top Suppliers”) measured by dollar value and sets forth opposite the name of each supplier the amount of purchases by the Business from such supplier during such period. As of the date hereof, none of the suppliers listed in Section 4.22 of the Seller Disclosure Schedule has notified Seller, the Company or any Company Subsidiary in writing that it intends to cancel or terminate its relationship with the Business or materially increase prices over current pricing levels. Notwithstanding anything herein to the contrary, this Section 4.22 contains the only representations and warranties by Seller in connection with this Agreement relating to the loss of suppliers.
Supplier Relationships. C.2.11.1. The data processor shall establish and maintain formal agreements with suppliers involved in the service delivery management of the data processor’s information systems, incorporating where appropriate the necessary security controls, policies and service level agreements.
C.2.11.2. The data processor shall review its third parties' information security controls periodically and validate that these controls remain appropriate according to the risks represented by the third party's handling of personal data, taking into account any state-of-the- art technology and the costs of implementation.
C.2.11.3. The data processor shall restrict third party access to personal data. When access to data is necessary for performance of the contracted service, the data processor shall:
a. Provide the data controller a list of third parties with required access to personal data.
b. Permit access to personal data, only as necessary to perform the services that the third party has contractually agreed to deliver.
c. Record third party access to personal data, within system logs, subject to the data processor’s controls for logging and monitoring.
