No Third Party Agreements or Consents. Other than as described on Schedule 5 attached hereto, (a) there are no contracts, agreements or understandings materially affecting the Transferred Assets, and (b) no consent of any person not a party to this Agreement is required to be obtained on the part of Seller to permit the consummation of the transactions contemplated by this Agreement (including without limitation the transfer to Buyer of all Seller's right, title and interest in and to the Transferred Assets).

No Third Party Agreements or Consents. Other than as explicitly stated in the Disclosure Schedule, (i) there are no contracts, agreements or understandings materially affecting the Transferred Assets, and (ii) no consent of any person not a party to this Agreement is required to be obtained on the part of the OIP Group to permit the consummation of the transactions contemplated by this Agreement (including without limitation the transfer to BDI of all right, title and interest in and to the Transferred Assets). Except as specifically provided herein, BDI shall not by virtue of any contractual arrangement between the OIP Group and any third party be obligated to provide to any such third party any copies of the Transferred Assets, or any modifications, enhancements or upgrades thereto or derivative works thereof or any other right or thing of value.
