No Third Party Beneficiary; No Partnership. Other than with respect to PayFacto, no person or entity may be deemed a third-party beneficiary of the Merchant Agreement. Nothing in the Merchant Agreement shall be deemed to create a partnership, joint venture, or any agency relationship between the parties. Unless otherwise assigned pursuant to Section 5.18, PayFacto shall be solely directly responsible to Merchant for the service obligations under the Agreement, other than those obligations which are directly held by PTC hereunder.
